- **Budget Generation:** Create a baseline annual budget in minutes using your historical spend and management fee schedules
- **Bulk Editing:** Update budgets inline and by applying bulk changes, including splitting annual amounts across months and adding a budget buffer percentage for expense categories
- **Edit History:** See an audit log of who made edits, what they changed, and when

[**Updated QSBS Attestation to maximize new exclusions and benefits**](https://releasenotes.carta.com/updated-qsbs-attestation-to-maximize-new-exclusions-and-benefits-1ez1GE)

With H.R. 1, the “One Big Beautiful Bill Act” (OBBB) now in effect, we’ve updated Carta’s Qualified Small Business Stock (QSBS) Attestation to help you and your shareholders track eligibility and take full advantage of the new benefits.

**What’s new?**

**Support for shorter holding periods:** for shares issued on or after July 4, 2025, Carta now tracks eligibility for a partial QSBS exclusion after three years (50%) and four years (75%), with full 100% exclusion available after 5 years.

**Support for the new $75M asset cap:** Carta automatically checks if newly issued shares qualify under the updated $75M aggregate gross asset limit—so you can confidently verify QSBS eligibility at the time of grant.

**Expanded individual gain exclusion**: Shareholder letters and eligibility summaries now reflect the increased $15M per-person gain exclusion, unlocking even greater potential tax savings.

**Updated dashboard indicators**: Carta dashboards and reports now show eligibility based on new QSBS rules and issuance windows. This makes it easier for companies and shareholders to understand their status at a glance.

**Why is this valuable?**

The new QSBS rules offer significant opportunities for tax savings—but only if companies can accurately track and prove eligibility. Carta’s updates simplify this process. By automating complex eligibility checks and updating shareholder documentation in real time, companies can:

- Maximize potential QSBS tax exclusions across new and existing grants
- Confidently communicate eligibility status to founders, employees, and investors
- Maintain audit-ready records with less manual effort

These upgrades ensure every eligible shareholder is in a position to receive the full benefits of the new law, with built-in transparency and peace of mind.

**How do I access the updated attestation?**

No action needed, these updates have already been applied to all active QSBS Attestations and portfolios holding QSBS-eligible shares. If you have questions or would like a walkthrough, reach out to your Customer Success team or visit our [Help Center](https://support.carta.com/).

**Anything else to know?**

Our team is closely monitoring policy changes and will proactively revisit your company’s QSBS analysis to help you unlock new shareholder opportunities and ensure your audit records remain up to date.

[**Multi-party Collaboration in Closings**](https://releasenotes.carta.com/multi-party-collaboration-in-closings-U6g1O)

# What's new?

We've enhanced Carta Closings to support sophisticated investors and streamline the fundraising process with multi-party collaboration. This major update transforms Closings from a single-user experience into a collaborative platform where multiple LP contacts can access and complete the subscription process simultaneously.

With multi-party, GPs can share access to multiple contacts, including themselves, and LPs can invite multiple contacts (e.g. wealth advisors, lawyers, colleagues, additional signatories) to help complete their subscription documents—all while maintaining complete visibility and control.

# Why is this important?

For sophisticated investors, completing subscription documents often requires input from multiple parties—financial advisors, legal counsel, authorized signatories, and others. Previously, this coordination happened offline through countless emails and document sharing, creating friction and delays.

While individual investors can easily complete forms themselves, larger institutional investors and more sophisticated LPs typically require multiple collaborators to review, complete, and sign subscription documents.

# Key benefits:

### For General Partners:

- **White-glove service:** Pre-fill your LP’s subdocs while also being able to view and edit in-progress investor questionnaires to proactively assist your LPs through the subscription process
- **Enhanced investor management:** Add multiple contacts per investor and proactively designate signatories when sending invitations
- **Broader visibility:** Maintain a comprehensive view of all contacts associated with each LP in an updated investor ledger
- **Multi-party data room access:** All LP contacts can now access your Closings data room when invited

### For Limited Partners:

- **Flexible collaboration:** Add team members, wealth advisors, joint subscribers or other stakeholders to help complete the sections of the questionnaire on your behalf
- **Transparent access & permissions:** Maintain visibility into who has access to the questionnaire and define account contact permissions for managing the investment in Carta.

# How does it work?

### 1️⃣ GP Access to Assist

GPs can now add themselves as an additional contact to prefill LP information and also edit investor questionnaires while they're in progress, allowing them to provide timely assistance to LPs navigating the subscription process. LPs are notified that the GP has this visibility, ensuring transparency throughout.

### 2️⃣ Adding Multiple Collaborators

**For GPs:** When adding a prospective investor, you can now include multiple contacts with their names, email addresses, and signatory roles. You can edit this list before sending invitations and view all contacts in an enhanced investor ledger.

**For LPs:** From the Closings welcome page, you can add or remove contacts, while specifying who has signing authority. New collaborators will receive email invitations to access the subscription.

### 3️⃣ Enhanced Data Room Access

Multiple stakeholders from a single LP entity can now access the Closings data room, ensuring everyone involved can securely access your fund’s information.

[**NEW: GP Carry Tracking**](https://releasenotes.carta.com/new-gp-carry-tracking-4i7dTi)

We're introducing GP Carry Tracking to eliminate the complexity and risk of manual carried interest management—creating an entirely new way to automate GP entity accounting and carry administration all in one integrated platform.

## What's new?

We've built GP Carry Tracking from the ground up to solve the challenge of managing complex carry allocations and GP entities that are time-consuming, error-prone, and difficult to track across funds.

- **Two integrated solutions in one platform:** Manage both GP Entities and GP Carry on one platform, with automated data flows between fund-level events and individual GP member allocations.
- **Real time carry & capital account balances:** Fund events that impact the GP entity flow through automatically, enabling interperiod reporting on carry and capital balances for GP members.
- **Complete Carry Visibility:** Track vested and unvested carry percentages, capital commitments, and accrued carry amounts all in one view.
- **Automated PCAP Generation:** Generate and share partner capital account statements directly from Carta, giving GPs full transparency into their carried interest with detailed breakdowns powered by the Carta general ledger.
- **Streamlined Carry Administration:** Issue multiple carry grants to recipients while standardizing vesting plans across your firm. Auto-generate and execute legal documents through templated workflows that eliminate manual document creation.
- **Intelligent Rebalancing:** When unissued or unvested carry gets allocated to managing members, our system automatically records and accounts for these changes with downstream transactions rebalancing carry accordingly.
- **Self-Service GP Portal:** Transform complex legal language into an intuitive interface your partners can explore independently. Access PCAPs, K-1s, and financial reporting without back-and-forth emails or spreadsheet requests.
- **Deep Financial Insights:** Dive into the numbers for any reporting period with views powered by our general ledger that show exactly where each figure originated, with a complete audit trail included.

[**A New Standard for Closings**](https://releasenotes.carta.com/a-new-standard-for-closings-PnX2w)

## What’s new?

We’ve enhanced Carta Closings to give General Partners (GPs) greater visibility into their fundraising progress and provide Limited Partners (LPs) with more flexibility in how they complete subscription documents.

With these updates, GPs can now set clear fundraising goals, manage prospective investors across their pipeline, track progress in real time, and upload offline documents for institutional LPs. LPs also gain multiple signing options to make their subscription process more flexible.

## Why is this important?

Fundraising can involve countless emails, manual document handling, and a lack of clear tracking. With these improvements, GPs can better manage their fundraise all in one place while offering LPs a smoother, more efficient signing process.

### Key benefits:

✅ **Flexible LP signing options**– LPs can complete online, download and sign manually, or delegate the task.

✅ **Clear fundraising tracking** – Set and monitor a fundraising goal with real-time updates while simplifying investor management throughout each stage of your fundraise.

✅ **Simplified document workflows** – GPs can upload countersigned subscription documents directly in Carta, eliminating email follow-ups.

✅ **Streamlined investor management** – View and take quick actions based on the stage of your prospective investors. You can additionally filter by status, view KYC results, and archive any prospective LPs who aren’t moving forward.

## How does it work?

### 1️⃣ Flexible Investor Signing Options

LPs can now choose how they want to complete subscription documents:

- Complete and sign online
- Download to complete manually, sign, and re-upload
- Delegate to someone else

### 2️⃣ Track Your Fundraising Goal

GPs can now set a fundraising target in Carta and track progress across every stage of their fundraise.

### 3️⃣ Upload Countersigned Subdocs Directly

For LPs who prefer to complete documents offline from the start, GPs can now upload fully executed subdocs directly into Carta.

### 4️⃣ Manage Your Investor Pipeline

Easily organize your investor pipeline through status filters, gain real-time visibility into each investor's KYC process, and archive LPs who aren’t moving forward. Archived investors are still accessible via a “Show archived” filter for future reference.

[**Investor cap table access experience**](https://releasenotes.carta.com/investor-cap-table-access-experience-1xsJ56)

Cap table access is essential for understanding your investment portfolio, but companies often wait for a request before granting it. Our goal is to equip investors and portfolio companies with the tools to request and grant access securely. With our latest release, investment firms now have robust tools to manage cap table requests, ask for the specific data levels they need, and follow up with companies to secure access.

**What’s new?**

We’re making it easier for investment firms to request and manage cap table access from their portfolio companies. :

- See how many portfolio companies are on Carta, your access status, and any open requests. Sort and filter by access level, company name, date, holdings, and status.
- Send bulk or individual requests and reminders for cap table access in two clicks.
- Export reports with access levels, request details, company status, and contact info for investor questions.

**Who is this available for?**

All users with “admin” permission in your investment firm.

**How do I use it?**

To access the page, navigate to your investment firm account, click on "Tools and services" in your sidebar, and select "Cap table access." You may also receive a prompt from the Investments Overview page to request access.

**Anything else I need to know?**

If you are not sure what levels you will need access to, Advanced is the most common level we see granted for investors. Portfolio companies can always choose to respond with Basic access, if they do not want to grant advanced.

If there are additional enhancements you would like to see here, you can provide feedback via [Carta Community](https://community.carta.com/participate/productideas).

**What's new?**

As part of our ongoing efforts to enhance accuracy and reliability, we have transitioned our Canceled and Returned report to Carta's Equity Reporting Suite service.

#### What does the new report offer?

- Consistent Date Formatting: All date columns are now displayed as MM/DD/YYYY for consistency across reports.
- Standardized Security ID Field: The "Security ID" field is now uniformly formatted across all new reports, facilitating easier reconciliation.

[**Improved Exercised and Settled Report**](https://releasenotes.carta.com/improved-exercised-and-settled-report-l1HcA)

**What’s new?**

Carta has revamped the Exercised and Settled report. The report, used to reconcile exercises, settlements and sales recorded in Carta, now runs from our new reporting engine and comes with improvements and new fields:

- All equity plans in a single report: the updated version includes all of your equity plans within a single report, allowing for easier transactional reconciliation.
- Dedicated Options and RSUs tabs: the improved version provides separate tabs for option exercises and RSU settlements, condensing and simplifying the tabs to show the fields you care about.
- Early exercise: the new report displays which exercises occurred as early exercises, before the underlying shares had vested.
- Payroll ID: all transactions now have their associated stakeholder payroll ID included to improve payroll reconciliation, assuming the ID was input in the platform.
- RSU withhold-to-cover: the report now accounts for the settlements run using Carta's bulk RSU settlement tool, providing information on quantity withheld and quantity released.
- Two FMV fields: to allow for easier reconciliation of FMV at exercise, the Exercised and Settled report now displays two FMV fields -- the FMV as shown to the stakeholder at the time they requested the exercise, and the FMV from the 409A page covering that exercise period.
- Country and state: improve internal controls, tax reporting, and review in case of holders from several different countries/states.

**Who is this available for, and how do I access it?**

This is available for company admins with Full Access, Company Editor and View-Only permissions, and can be accessed by going to your company account, navigating to Cap Table > Run reports, and selecting the Exercised and Settled report.

[**Fundraise insights for SAFEs**](https://releasenotes.carta.com/fundraise-insights-for-safes-13fOUg)

**What’s new?**

Introducing a SAFE Insights tool that provides fundraise benchmarks customizable by industry, stage, and location.

**Why is it valuable?**

One of the first steps of any fundraise is understanding what terms to raise on. This tool helps early-stage companies contextualize the terms they are considering against other comparable companies. The tool leverages a dataset of 38,000 startups and 2 million security holders managing $2.7 trillion in equity to enable founders to negotiate and get funding based on reliable and current data benchmarks.

**How does it work?**

Companies indicate the terms of their SAFE round including stage, industry, and financing amount raised. Based on their input, the tool  will show  how their specific SAFE terms compare against the latest benchmarks on:

- Pre-money valuation caps
- SAFE term distribution
- Discounts
- Number of investors per round

Getting started:

1. Navigate to the SAFE Financings page under the Fundraising tab
2. Click on “Go to SAFE terms calculator”

1. Choose your terms. You do not need to provide all the terms.

1. Click on calculate, you can now see insights specific to your SAFE round

[**Equity reporting suite: OCX**](https://releasenotes.carta.com/equity-reporting-suite-ocx-1EEcfe)

## What's new?

Carta now has an exportable Open Cap Table report.

OCX, also known as the Open Cap Table Excel Standard, is an initiative led by the [Open Cap Table Coalition](https://open-cap-table-coalition.github.io/Open-Cap-Format-OCF/) to establish standardized practices for equity data.

OCX serves as a cap table report, similar to Carta's existing cap table feature. However, it represents our commitment to a more standardized approach to equity practices.

To access OCX, navigate to Cap Table > Run reports. You will find the OCX report in the equity report list as well as under the Capitalization folder.

## Why is this important?

OCX aims to standardize an ecosystem where various stakeholders operate differently in terms of their practices and data presentation. By adopting a more uniform approach, it enables seamless interaction with equity data and smoother movement across different processes and platforms.

## Where can I learn more?

Soon, we will have a dedicated support article for the OCX report, and you can read about our existing reports on our [support site](https://support.carta.com/s/article/export-reports). [**Automatically Expense Awards with Event-Based Performance Conditions**](https://releasenotes.carta.com/automatically-expense-awards-with-event-based-performance-conditions-XspZ6)

### What’s new?

Starting August 10, 2023, companies that issue NSOs and RSUs with event-based performance conditions attached to their vesting schedules will now be able to automatically calculate and expense these awards in their SBC Expense, Disclosure, and Dilution reports. Previously, companies that gave out awards with event-based performance conditions calculated their SBC Expense, Disclosure, and Dilution values manually outside of Carta.

### Who is this available for?

All Carta Cap Table users with Financial Reporting in their subscription. If you do not yet have Financial Reporting in your subscription, please talk to your Account Manager or email 718@carta.com.

### How does it work?

- Log in to Carta, and navigate to Compliance & Tax > Financial Reporting.
- Create a new report. The date range for the report should include the date when a performance award was granted.
- Once an award has met all performance conditions, there will be a true-up of the expense and any values will be allocated accurately as per FASB US GAAP guidance.
- If the performance conditions have not been met, the expense will be reported as 0 per US GAAP guidance.

### What’s an event-based performance condition?

If an award has a performance condition, it means that the award has a vesting condition that is subject to performance-based criteria. An event-based performance condition is one in which vesting is contingent on a liquidity event such as an IPO.  Carta’s cap table includes support for NSO and RSU awards with event-based performance conditions. Now, companies that issue NSOs or RSUs with event-based performance conditions can automatically expense these options in their financial reports.

### How does Carta calculate the fair value assumptions?

Companies can choose to use either Carta’s default fair value assumption or to create a customized one. Carta’s default fair values assumption is calculated with the [Black Scholes pricing model](https://support.carta.com/s/article/black-scholes), using your company’s [Fair Reporting Value](https://support.carta.com/s/article/financial-reporting-value) at an award’s grant date.

### Can I create reports using both US GAAP and IFRS scenarios?

Not at this time. Companies can only expense awards with event-based performance conditions in US GAAP.

### Can I attach event-based performance conditions to a specific vest date?

Yes. As of September 14, 2023, companies that issue NSOs and RSUs with event-based performance conditions attached to a specific vesting date can be expensed using our Financial Reporting tool.

### Where do I go if I have more questions about financial reporting?

If you have more questions about our Financial Reporting product, please contact [718@carta.com](mailto:718@carta.com).

[**Separate reports for Fair Market Value (FMV) and Financial Reporting Value (FRV)**](https://releasenotes.carta.com/separate-reports-for-fair-market-value-fmv-and-financial-reporting-value-frv-1PQwJG)

# **What's new?**

Beginning on June 21, customers with both Carta 409A and Financial Reporting in their subscription will begin receiving two separate, audit-defensible reports: one with the Fair Market Value (FMV) used for tax purposes, and one with the Financial Reporting Value (FRV) used for accounting purposes.

Delivering these reports separately will more closely align with a changing regulatory environment in which tax guidelines under 409A and accounting standards under ASC 718 diverge.

Historically, Carta has only delivered a single report that values our customers' common stock under section 409A of the tax code. This singular report would double as a valuation used for both tax and accounting purposes, which introduced challenges for customers going through audits - companies are incentivized to keep their FMV low to keep options attractive for employees, while auditors may push companies to increase the Fair Value of stock when calculating stock-based compensation expense.

Disambiguating these two concepts allows our customers to work more flexibly with their auditors while still keeping options and other equity awards attractive as incentives for hiring and retaining talent.

# What do I need to do?

If you're a customer with both Carta 409A and Financial Reporting in your subscription, you'll receive two reports the next time you request a 409A valuation from Carta: one with the Fair Market Value (FMV), and one with the Financial Reporting Value (FRV).

The FMV can be used as normal: pricing options, helping employees estimate their tax burden when exercising, Form 3921 filings, etc. The FRV can be used in Carta's Financial Reporting product to calculate the expense associated with stock-based compensation. Customers can work with their auditors to either directly use the provided FRV or adjust it from within Carta's Financial Reporting product as necessary.

For customers with access to both Carta 409A and Financial Reporting in your subscription, you’ll see an additional card for FRV at the top of the Valuations homepage in Carta (Compliance & Tax > 409A Valuations) once you receive and accept a new valuation report from Carta:

You'll also see an extra column in the table at the bottom of the Valuations homepage which shows historical FRVs side-by-side with historical FMVs:

And in Financial Reporting, you'll also see text changes when configuring a scenario:

# How do I learn more or get help?

We've created a few help articles with detailed information about FRV and how this value differs from FMV and appears in Carta:

- [Separate Reports for Fair Market Value and Financial Reporting Value](https://support.carta.com/s/article/split-reports)
- [409A and ASC 718 Compliance: Carta’s Financial Reporting Value (FRV)](https://support.carta.com/s/article/fmv-and-frv)
- [Financial Reporting (V3): Carta’s Financial Reporting Value (FRV)](https://support.carta.com/s/article/financial-reporting-value)

If you've received your FRV report and have further questions, feel free to reach out to [val-operations@carta.com](mailto:val-operations@carta.com) \- we'd be happy to help.

[**Design Improvements to the RSU Modal**](https://releasenotes.carta.com/design-improvements-to-the-rsu-modal-2JdGlq)

Today we’re making design improvements to the RSU Modal to make it easier for holders to understand the value of their equity.

## **What is changing?**

RSU holders now can see a summary view of their securities in the details tab, including an overview table with units breakdown. Also, double trigger RSUs are no longer stuck in a zeroed state, they can now see a breakdown of vesting information, including time-vested amounts.

## **Changes to the Details tab of the RSU Modal**

RSU holders will see the following information on the RSU details page:

1. Original quantity / Issued: Total amount of RSUs granted on the issue date
2. Released for settlement: The number of vested units that have been part of a settlement event
3. Delivered: The number of shares ultimately delivered to the holder as a result of converting the RSU, after any shares withheld by the issuer as payment for the holder's tax obligation
4. Withheld at settlement: The number of shares that have been withheld to cover taxes at settlement
5. Partially-vested amount: eligible for settlement when performance is hit, or the the total number of shares time vested, and available for settlement
6. Remainder: Resulting number of shares from original quantity, after subtracting settled and withhold amounts

The bottom of the details tab will now include an employee education modal, which will be used to surface important education about their RSUs.

## **Changes to the Vesting Schedules tab of the RSU Modal**

Now, holders can see the cumulative values for all vesting conditions applicable to their RSUs, which can be time or milestone based, with or without additional performance conditions.

We’ve updated the Vesting Schedules tab to account for the following scenarios (screenshots of each below):

1. Double trigger RSU (Based on time and an additional condition)
2. Double Trigger RSU (Based on milestones and an additional condition)
3. Single Trigger RSU (Based on time)
4. Single Trigger RSU (Based on milestones)
5. RSU has been terminated or expired

[**Improved Employee Matching**](https://releasenotes.carta.com/improved-employee-matching-1AIPTy)

### What’s new?

This release improves the workflow for matching employees with stakeholders on Carta. Employees with the same name and email as the stakeholder will automatically match, saving their employee ID and thereby linking the stakeholder with the employee record. The improved workflow guides you through reviewing all other employee matches.

### How does it work?

For the reviewed matches, you can now ignore, to be reminded next time, or to choose a different stakeholder. These decisions will be saved and will not need to be rematched when running the employee matching workflow. You can now review all matches and update the decisions later.

### What do I need to do?

To get started, you will need to connect your external data to Carta either through connecting your HRIS system, uploading a spreadsheet, or pasting the information into Carta directly.

###

With your external data connected, Carta will attempt to automatically match your employees. From there you review suggested matches, deciding to approve the suggestion, ignore it, remind me later, or manually choosing a different person.

If there are any employees from external data that don’t match at all to Carta stakeholders, you can choose to ignore them or manually choose a person to match.

The workflow is then completed and all matches can be reviewed.

[**Disqualifying Disposition Report - Private Companies**](https://releasenotes.carta.com/disqualifying-disposition-report---private-companies-tkJBC)

# What’s new

Private companies can now report the complete list of all ISO dispositions and see exactly which dispositions qualify for tax incentives and which ones do not, along with Ordinary Income value and other information.

# How it works

Under Capitalization > Reports, find the Disqualifying Disposition Report (ISO):

Select the reporting date range, acknowledge the report’s use of in-platform securities and transactions, and then export the report to Excel:

When the report finishes generating, it will be available in the Downloads menu:

The report shows info on Disposition Type, Ordinary Income, FMV and more. In order to be completely transparent, Excel formulas are used for Disposition Type, Ordinary income, First Qualifying Disposition Date, and Disqualifying Reason fields to show how they are calculated:

# Who this affects

Private companies with tender offers or secondary ISO transactions captured in Carta.

# Timing

Available now for all Private market customers (the Public market Disqualifying Disposition Report is [available at request](https://app.getguru.com/card/TkKabgac/Considerations-when-enabling-DQD-Report-Beta-for-client) as part of the Early Access release).

[**Tracking Share Class Changes**](https://releasenotes.carta.com/tracking-share-class-changes-1csGeQ)

Private market issuers that go-live on or after 11/09/2021 can now track updates to company share classes’ rights and preferences as they are changed over time. This feature will roll out to other issuers in the next few weeks.

Users with the Legal administrator permissions will be able to make changes to the share class details. Users with the Company editor or Company viewer permissions will only be able to view the share class details.

# Experience Overview

1. Navigate to Securities > Shares.

2. Click Manage share classes and select Create/edit share classes.

3. The in-app spreadsheet loads in view-only mode, to prevent accidental input, which is indicated by the grey rows.

4. Create a new share class by clicking on the related button on the top-right of the screen.

5. To make edits to the share class details, click the Edit to the right of the AOI version date and name. If editing from the active AOI version, Admins will have the ability to reflect both a clerical error or amendment

1. If you are editing a past AOI version, Admins will only be able to make edits because of a clerical error.

2. If reflecting an amendment, Admins will be able to upload the related Articles of Incorporation (AOI) or select one from the [Library page](https://support.carta.com/s/article/manage-your-company-library). In addition, a name can be added to the AOI version.

3. Click Continue to save.
6. At this point, the Admin can make changes in the spreadsheet. The side-panel will expand to show helpful content related to the selected cell.

Cells that are painted light gray cannot be edited because the data may be in-use, a calculated value, or not applicable. Respectively, examples include share class names, the calculated outstanding value, and conversion price for common shares. Reference your AOI or contact your legal partner if you need help filling out this spreadsheet.

7. After edits have been completed, click Finish editing and save.

Carta will check your entries for any errors and provide actionable messaging to help you make corrections.

1. Review the summary of changes, then click Confirm and save. No email notifications are sent due to the changes.

2. Admins can navigate between AOI versions with the AOI version selector, which will show the filing date and version name as dropdown options.

Carta will be making improvements to tracking the company’s cap table, financing history, and reporting in the next few months to incorporate time-versioned share class information.

[**Adjust taxes for option exercises**](https://releasenotes.carta.com/adjust-taxes-for-option-exercises-2wbMsg)

# What’s new

Companies can now adjust taxes for option exercises previously approved in Carta.

Legal administrators can navigate to the Exercises ledger (Transactions > Exercises) and select "Adjust taxes" within a ledger row dropdown to find the new tool:

# How it works

The "Adjust taxes" tool will not be available for option exercises in the "Requested" status since option exercise approvers can adjust taxes as part of the exercise approval workflow.

For ACH option exercises already approved by the company or for company-entered manual exercises, the "Adjust taxes" tool will be available for use.

After a legal administrator selects "Adjust taxes" from the Exercises ledger, they'll see the following modal:

The legal administrator will be asked to provide a reason for the adjustment. Next, the following actions are available:

- Un-check a box next to a tax type to remove it from the option exercise
- Re-check a box to re-add a previously removed tax type to the option exercise
- Update the specific tax withholding amount in the "Adjusted" column
- Select "Add another tax type" to add a new tax type to the option exercise

Note that new tax types can't be added from this modal. If you'd like to add a new tax type to the exercise, add it first in the Tax rules page (Compliance > Tax rules) and then come back to the "Adjust taxes" tool to add it to the option exercise.

Once the adjustment has been saved, both the company and the stakeholder will see a blue banner when viewing the option grant. The banner contains information about the newly adjusted tax amount and exercise cost in addition to when the adjustment was entered in Carta:

Adjusted tax amounts will also be reflected in the "Exercised and settled report" and the "Tax withholding report" (Capitalization > Reporting).

For more information, check out the support article for the new "Adjust taxes" tool: [https://support.carta.com/s/article/adjust-taxes-option-exercises](https://support.carta.com/s/article/adjust-taxes-option-exercises)

[**Option exercise settings for exercises initiated and settled on Carta**](https://releasenotes.carta.com/option-exercise-settings-for-exercises-initiated-and-settled-on-carta-1i6boQ)

- ## **_Managing option exercising is now easier than ever._**

International optionholders of US companies can now exercise online via wire transfer to Carta. As a result, all US companies can now settle exercises through Carta, for both ACH and wire transfers payments. Carta conveniently manages payment reconciliation and payment issues such as insufficient funds or overpayments. This new feature is controlled via the new Transaction Settings page.

### **Who this affects:**

- 🇺🇸 US companies, public and private

**What's new:**

- 💸 **All exercises are settled with Carta**\- company admins will no longer need to mark exercises as paid. No matter where optionholdersers are located, Carta will receive funding for on-platform exercises - US holders pay for their exercise via ACH and non-US holders pay for their exercise via a wire transfer to Carta.
- ⚙️ **Clear transaction settings** \- company admins control option grant exercisability easily in one central location within Transaction Settings, under Company Settings.
- ❌ **Auto-cancel unpaid exercis** **es** \- A wire exercise is automatically cancelled if unfunded or underfunded for 30 days after admin approval.
- ✉️ **Communication with optionholders** \- Carta communicates directly with optionholders to resolve payment issues, letting them know of an outstanding balance for an exercise or facilitating a refund for overpayment.

**Action required:**

- Configuring Transaction Settings will enable access to online wire exercises for international optionholders.
- Navigate into _Company > Settings > Transaction Settings_
- Click _Set up_ to accept the terms and reconfigure your company account
- Accept the terms and conditions and enjoy the feature! You will be able to:
  - Change the bank account information
  - Easily turn exercises _ON_ and _OFF_, without Support intervention
  - Select the types of securities that may be electronically exercised

**Timing:**

- Rollout begins Oct 14, 2021
- Rollout to reach 100% of all customers by the end of 2021

[**Partially Canceling Option Grants**](https://releasenotes.carta.com/partially-canceling-option-grants-1r7dPq)

# What’s new

Legal administrators in Carta can now partially cancel an option grant in Carta. Partially canceling an option grant will reduce the number of outstanding shares and return the shares back to the option pool.

# How it works

You'll find the partial cancellation tool by navigating Securities > Equity awards and clicking on the ledger dropdown for the specific option you'd like to partially cancel:

First, you'll be asked to provide an effective date for the partial cancellation. A partial cancellation is an amendment to the option grant, and the effective date will determine when the amendment takes effect in the company's as-of date reporting.

Next, select the cancellation method, which determines how the partial cancellation will affect the vesting schedule for the option grant. Because a partial cancellation reduces the outstanding quantity of the option, Carta needs to know from which tranches the shares should be canceled.

**Last in, first out cancellation method**

For some situations, the issuer or their legal counsel may not specify the way in which the amendment will affect the vesting schedule. Issuers can select the last in, first out cancellation for the vesting schedule, and Carta will cancel shares starting from the future-most tranche and move up the vesting schedule until the specified quantity has been canceled.

**Custom cancellation method**

For situations in which the issuer or their legal counsel want to affect the vesting schedule in a specific manner with a partial cancellation, issuers can select the "Custom" share allocation method - this approach provides flexibility and allows the issuer to cancel shares from any tranche. The in-app spreadsheet allows legal administrators to first reflect the partial cancellation in a spreadsheet application outside of Carta and then copy/paste the resulting vesting tranches back into Carta.

After selecting "Review and confirm" at the bottom of the page, verify the cancellation quantity and other information to save the partial cancellation.

# Additional Resources

For more information around the limitations and best practices for the partial cancellation tool, please refer to [this support article](https://support.carta.com/s/article/partially-cancel-option-grants).

# Who this affects

[**Instant KYC for Non-Individual LPs Completing Subscription Documents**](https://releasenotes.carta.com/instant-kyc-for-non-individual-lps-completing-subscription-documents-4uIrzq)

Non-individual Limited Partners who complete subscription documents on Carta can now be KYC’ed instantly.

**What’s New**

This release is a follow-up to [our KYC for Individual LPs feature](https://releasenotes.carta.com/instant-kyc-for-lps-completing-subscription-documents-4dzDxK). If your fund leverages Carta’s [KYC/AML service](https://support.carta.com/s/article/due-diligence-scope-of-services) and you have **non-individual** Limited Partners (LPs) completing subscription documents in Carta, these LPs can now be instantly KYC’ed on the platform. Carta instantly KYCs the LP's control person and beneficial owner(s) in addition to the LP entity itself.

Carta’s instant KYC feature is made possible by Carta integrations with identity and verification databases like LexisNexis, Ekata, Socure, and more.

**Limitations**

- For this release, only US-based LPs are supported for instant KYC. Future releases will extend support to non-US LPs

**How it Works**

1. As an LP completes their subscription documents, non-individual LPs (for funds that avail of [Carta’s KYC/AML service](https://support.carta.com/s/article/due-diligence-scope-of-services)) will see a dedicated **Know Your Customer** section. Upon landing here, LPs will first be asked if their control person and beneficial owner(s) are all US persons -

2. If the control person and beneficial owner(s) are all US persons, then the LP will be shown forms to enter KYC information for these individual(s) -

3. Finally, the LP is also able to upload any entity formation documents and photo IDs here:

4. Once subscription documents are signed by the LP, the following are instantly KYC'ed: the LP entity, control person, and beneficial owner(s). If all pass KYC, this is immediately reflected in the Carta UI and General Partners are notified to countersign -

**Timing:** Rolled out to all on Aug 31, 2021

**Audience:** US-based Limited Partners, General Partners

[**Modify and Request Information From Portfolio Companies**](https://releasenotes.carta.com/modify-and-request-information-from-portfolio-companies-3da5jO)

**What’s new?**

Our [Portfolio Insights](/content/investors/portfolio-insights/index.html) clients can now easily request information from their Portfolio Companies. We’ve created the flexibility to select file types, KPIs, or information about the portfolio companies’ upcoming financings.

**How it works**

1. Navigate to Manage RFIs under Settings and select which companies from your portfolio you’d like to make edits to:

1. Enabled: Will request data from Portfolio Companies
2. Fiscal Schedule: Control if your request is a standard quarter end, or +1 or +2 month end (e.g. Q2 fiscal schedule of July 30 or August 30)
3. FND: Ask if Portfolio Company will be raising funds in the next year, if so, by when and how much.
4. AER: Do you want to send automatic email reminders if the Portfolio Companies did not reply.
5. Period: Request income statement figures for the last 3 months, 6 months, or 12 months
6. Requested Files: Request between:

1. Articles of incorporation and Cap Table (for companies that don’t manage their cap table on Carta)
      2. Financials
      3. Forecast and Board Decks.
7. Requested KPIs: Select from the list of 40 industry standard KPIs (Users, ARR, Web Traffic, etc). Enable KPIs individually or in industry-specific batches.

1. Toggle data collection, tailor the documents to be requested, and enable various KPI fields for a more intuitive RFI preparation process

1. Save preferences and send your next portfolio RFI during your typical request cadence.

1. Portfolio company upload portals will be customized accordingly, ensuring you’re only requesting exactly what you need from each logo

**Suggestions**

We recommend limiting KPIs to 3 or 4 to keep portfolio company upload portals from becoming overwhelming.

**Limitations**

Custom KPI (i.e. those that don’t exist in our drop down) functionality is scheduled to be available late Q3 2021.

**Timing**

The configuration page is currently released and enabled for all Portfolio Insights clients.

**Questions?**

[**Public Cash Exercising Redesign**](https://releasenotes.carta.com/public-cash-exercising-redesign-1j2cIE)

**Users:** Option holders of public companies

**Platform:** Web (iOS and Android coming soon)

With an objective to unify the cash exercising experience between private and public companies, we've enhanced the Public "Cash" Exercising flow on Web to make the steps more seamless, intuitive and easy to follow. Implementing these changes to the exercising workflow allows users to review all the important details relating to their option grant exercise in a step-by-step manner, eliminating confusion about tax withholdings and allows them to better understand the stages of their exercise.

While our previous Cash Exercising workflow for public companies got us some great mileage, our processes and their caveats have evolved, which called for a cleaner, simpler and an overall better user experience. Below are some of the highlights that the new Cash Exercising workflow will introduce:

1. **Step-by-step procedure:** Intuitive and easy to follow, allowing the user to fully understand the process
2. **Improved tax estimation/information:** Targeted tax withholdings information provided to user with respect to the option grant type being exercised
3. **Cleaner UI:** Revamped headings, body text, call to action, helpful support links and more!

[**ISO 100K Dashboard**](https://releasenotes.carta.com/iso-100k-dashboard-1EyY7e)

_Get the transparency you need to manage ISO/NSO splits with the new ISO 100K dashboard in Carta._

## Who this affects

All Carta customers can now access the dashboard under Compliance > ISO 100K.

## What's new

The 100K rule for ISOs has been a historically opaque concept in Carta - customers and their legal counsel have often found it difficult to understand how the application of the rule results in the specific bifurcation of ISO vs NSO shares in a particular option grant.

The new ISO 100K dashboard brings a new level of transparency to the way in which ISO options are bifurcated according to Carta's automatic application of the 100K rules. For specific transactions and amendments that fall outside the purview of Carta's automatic bifurcation estimates, customers and their legal counsel can request access to the dashboard's grant editor feature, which allows legal administrators to change the ISO/NSO split estimated by Carta.

Last thing to mention: we worked closely with Orrick (one of Carta's law firm partners) to make sure we were solving this problem in a way that allowed our law firm partners to better support our customers. You can read more about that [here](/content/blog/iso-nso-splits-100k/index.html) on Carta's blog.

**What's changing?**

Companies can now quickly get the information they need and reduce room for error through our new report builder template. This ‘stakeholder ledger’ enables admins to pull information on stakeholders, cap table, and vesting information in a single report.

Users no longer need to combine multiple reports or run offline calculations to view vested/unvested, forfeited, excised, cost center, employee ID, and relationship in one place.

**To create a Stakeholder Aggregate report on Report Builder**

Click ‘Create a custom report’ on the Capitalization > Reporting page, and select ‘Stakeholder ledger’.

This will open up the Report Builder interface. From here, you can select any of the available columns. Note that not all columns are available, as some cannot be aggregated at the stakeholder level.

**What’s next?**

During Q2 we will be adding additional columns, starting with fully diluted ownership. We will also be adding additional filtering options, starting with specific equity plans and share classes.

[**Vesting & Exercise Status Bars**](https://releasenotes.carta.com/vesting-and-exercise-status-bars-5Yp0I)

_Users viewing the "Vesting schedule" tab in the security details modal will now see a new column in the "Progress" section labeled "Status" under which progress bars appear next to each vesting tranche that indicate the vesting and/or exercise status for each vesting tranche._

## Who this affects

All users in all companies with securities that have vesting schedules

## What's new

For security holders and administrators viewing individual security details, click on the "Vesting schedule" tab to see the new status bars (see red boxes below):

Depending on the status of a security's vesting and exercise status, you'll see the following colors:

- Gray: unvested tranche
- Light blue: vested tranche
- Dark blue: exercised tranche

Previously, if there was an exercise for _part_ of a vesting tranche, you'd either see the row colored in gray if the tranche was unvested, or you'd see the row colored in blue if the tranche was vested - this was confusing since neither of these results were technically accurate.

Now, if a vested tranche is partially exercised, you'll see the dark blue exercise color overlaid on the light blue vested color (show below). If an unvested tranche is partially exercised in the case of an early exercisable option grant, you'll see the dark blue exercise color overlaid on the gray unvested color.

Sending K-1s to the right Limited Partners can be a manual, error-prone process. The new K-1 uploader helps ensure that every tax document goes to the right LP. When you upload your K-1s into Carta, our system will automatically match or suggest matches for LPs based upon name and tax ID.

**Who this affects**

LP Portal customers, Fund Admin customers

**What’s new**

We have released a new tool for LP Portal customers to easily upload Schedule K-1 tax documents. This is the same tool used by Carta’s internal fund administrators.

The tool scans each K-1 to look for partner names and tax IDs, and compares them to the names and tax IDs we have on file.

If a K-1 matches with exactly one partner, the tool will automatically assign it to that partner.

If the tool is unable to definitively assign a document to a partner, it will suggest potential matches for user review.

To access the K-1 uploader, visit the **Partners** tab. Under **Documents**, select **Upload documents** and choose **Schedule K-1**.

**Timing** **:** This feature was released March 3, 2021
