Updated QSBS Attestation to maximize new exclusions and benefits

With H.R. 1, the “One Big Beautiful Bill Act” (OBBB) now in effect, we’ve updated Carta’s Qualified Small Business Stock (QSBS) Attestation to help you and your shareholders track eligibility and take full advantage of the new benefits.

What’s new?

Support for shorter holding periods: for shares issued on or after July 4, 2025, Carta now tracks eligibility for a partial QSBS exclusion after three years (50%) and four years (75%), with full 100% exclusion available after 5 years.

Support for the new $75M asset cap: Carta automatically checks if newly issued shares qualify under the updated $75M aggregate gross asset limit—so you can confidently verify QSBS eligibility at the time of grant.

Expanded individual gain exclusion: Shareholder letters and eligibility summaries now reflect the increased $15M per-person gain exclusion, unlocking even greater potential tax savings.

Updated dashboard indicators: Carta dashboards and reports now show eligibility based on new QSBS rules and issuance windows. This makes it easier for companies and shareholders to understand their status at a glance.

How do I access the updated attestation?

Get Started guide for companies signing for QSBS Attestation

We've launched a new guided "Get started" workflow for companies that sign up to get QSBS Attestations from Carta. After signing up for a QSBS review with Carta the feature will guide you to provide the Carta Valuations and Tax team the necessary information to perform the attestation.

After signing up the guide simplifies the process of connecting a your company's accounting provider to Carta, making it easy to provide the necessary financial data for your QSBS attestation. This integration will help Carta's QSBS Delivery reduce the back and forth needed to collect historical financial information about your company.

For companies that either do not use one of our supported accounting providers, the guide offers a way to manually upload financial statements, guided by questions that adapt based on your companies size and stage.

Recent releases for QSBS eligible companies and their shareholders

We are continuing to enhance the experience for QSBS-eligible companies and their shareholders. Recently, we have introduced the following features:

1. View previously sold QSBS eligible shares

Shareholders and admins can now see previously sold shares that were QSBS eligible. Users can view this information on Carta directly, as well as the QSBS PDF statement available for download by shareholders.

2. QSBS columns added to the Investment dashboard export

Investors with holdings in QSBS eligible companies can now see the QSBS status, and if applicable, number of QSBS eligible shares that hold in the Investment dashboard export.

3. Financing history now included in QSBS Attestation letter to Company admins

Our QSB Attestation letter to companies now includes a section detailing the financing history of the company. This information impacts the 'aggregate gross assets' test our team performs during the analysis.

Refer portfolio companies for QSBS Attestations from Carta

Investors can now refer their portfolio companies to get QSBS Attestations from Carta. The feature allows investors to do this for individual companies or multiple companies that are likely QSBS eligible. Once you refer your portfolio company, they will receive a notification on Carta encouraging them to get a QSBS Attestation. After a company receives the QSBS Attestation, you will receive an email and copy of a QSBS Attestation letter addressed to your firm highlighting which securities held are QSBS eligible.

What do I need to do?

This feature is available to users who are admins for an investment firm on Carta. Navigate to the 'Investments' page of your firm where you can refer in bulk or individual companies for QSBS reviews from Carta. QSBS eligible investments highlighted in the SOI

Fund Admin customers with portfolio companies using Carta's QSBS Attestation product will now see a QSBS tag on the SOI for investments that have been attested to as QSBS eligible by the Carta Tax and Valuations team.

The tag indicates that your fund holds shares that are QSBS eligible (pending the holding period requirement). To see more details about your QSBS eligible shares you can click on the investment and navigate to the Holdings page and select 'QSBS eligible shares'.

Here you can view more information including: number of eligible shares, securities that are eligible, and download a PDF of the personalized QSBS Attestation letter.

What do I need to do?

This page is available to customers using Carta for Fund Administration. You can navigate to your Fund's SOI on Carta by selecting "choose entity" on your firm's account, selecting the fund you wish to view, and selecting "Investments" in the navigation menus.
