In aggregate, salary and total cash compensation benchmarks are slightly higher than our last release, increasing by about 1%. Similar to previous updates, specialization level data continues to change more than the broader sample, as sample sizes for these roles are smaller than job area level data.

Equity benchmarks are increasing in aggregate, showing about a 2% increase versus last quarter. Later stage peer groups generally saw the largest increases

#### What were the largest areas of movement from these benchmarks?

Salary - Salary benchmarks for all job areas and specializations are within 2% of last quarter’s data. Recruiting is the only role that decreased quarter-over-quarter (by about 1%)

Equity - Equity benchmarks are generally within 5% of last quarter’s benchmarks. Product Management is the only role that increased by more, showing a 7% increase.

[**New: Intercompany Balances View**](https://releasenotes.carta.com/new-intercompany-balances-view-3s6vm0)

We're excited to introduce Carta's Intercompany Balances view, a relationship-centric dashboard for tracking obligations across your firm.

Whether you need to track reimbursements to the management company, fund-to-fund balances, or other intercompany liabilities, you now have centralized oversight.

**Why is this valuable?**

Firms often struggle with reconciling due-to and due-from balances across entities like funds, their management company, SPVs, and GP entities. The Intercompany Balances view improves your firm-wide visibility and operational efficiency with a unified, entity-level view.

Within each entity in Carta, you can instantly check outstanding balances across related entities in the firm. This enables:

- **Firm-level Clarity**: Easily see net amounts due-to and due-from a primary entity and all related entities.
- **See What Ties Out**: Balances are automatically categorized as "Settled," "Ready to Settle," or "Pending Review” so you immediately know what’s actionable.
- **Visibility into Available Cash**: Confirm sufficient funds are available for settlement with a real-time view of entity bank balances.
- **Audit the Underlying Journals**: Quickly dig into entities’ trial balances for deeper review of intercompany accounts and journal details.

**Coming Soon: Bulk Settlement**

The Intercompany Balances view is just the first step. We are actively building the next phase, which will allow you to settle multiple balances in a single workflow.

[**Profit Interest Support in Financial Reporting**](https://releasenotes.carta.com/profit-interest-support-in-financial-reporting-1EMZSo)

Financial Reporting will now include Profits Interest Units (PIUs) in all expense and disclosure reports.

**Why is this important?**

Expense accounting is crucial for private companies because it's the only way to accurately measure profitability, ensure tax compliance, make informed business decisions, and secure funding.

**How does Profit Interest support in Financial Reporting works?**

- New Disclosure Table: The Minimum Disclosures report will now include a new "PIUs outstanding table" if the company has PIUs. This table includes a dedicated "Repurchased" line for greater clarity.
- Partial Repurchases: When a PIU is partially repurchased, the system cancels the original security and issues a new "balance" security. The report will reflect this (e.g., one grant canceled, one new grant issued). A footnote in the "Tranches" tab confirms that expense is not double-counted.
- Fair Value Override: The report defaults to the Intrinsic Value method for PIU expense. The "Override Fair Value" is still available if there's any need to change it.

[**Performance condition support for Profit Interests, certificates and RSAs**](https://releasenotes.carta.com/performance-condition-support-for-profit-interests-certificates-and-rsas-2lWiHe)

**What's new**

Performance conditions are now supported for three new security types: Profit Interests, certificates and RSAs.

**How does it work?**

In order to add a performance condition to a security, it first needs to be created via the **Vesting and securities templates** page.

Once there, navigate to the performance conditions tab, click **Create performance condition** and follow the workflow.

After the performance condition has been created, it can be attached to any option grant, RSU, certificate, RSA and profit interest unit via the draft workflow or by modifying the vesting schedule.

Once a performance condition has been achieved, it has to be recognized to affect the securities it is connected to.

After clicking the option to Recognize, the required fields have to be filled out to proceed.

If the performance condition was achieved with a payout percentage below 100%, unvested shares will either need to be forfeited or repurchased.

In these case, the original security will be canceled a new one will be issued with the vested shares.

[**KYC AML Dashboard**](https://releasenotes.carta.com/kyc-aml-dashboard-1duKTS)

#### What’s new?

Carta’s new KYC AML Dashboard provides greater visibility and control of your investor KYC (Know Your Customer) checks. It allows you to easily track requests and keep on top of KYC progress with a visual summary and details for each LP. Here’s how it works:

1\. Initiate and track progress

- Invite LPs to complete KYC, including prospective LPs who are not on your Partners Dashboard, and standalone KYC checks outside of Fund Closings
- Remind investors to submit their KYC information and keep things moving
- Monitor status updates and key dates, including when KYC was last updated for an investor, and the results of daily watchlist screenings

2\. Consolidate KYC tasks across entities

- Manage results for investors in multiple entities
- See investor KYC checks across jurisdictions in one place
- Ensure regulations are followed with data collection based on the entity’s country of domicile

3\. Download results

- Export summary reports for an overview of investor KYC results across all entities
- Export Customer Due Diligence (CDD) reports for individual investor KYC results including risk scores that explain how a verdict was reached

#### What’s important about this change?

Traditional KYC providers and methods offer GPs very limited visibility into the process. GPs often don’t know how a KYC check is progressing or when it will be complete, and aren’t told why a certain verdict was reached. The KYC AML Dashboard transforms the experience of managing KYC for a fund, whether you’re onboarding LPs for the first-time or running periodic reviews.

#### How does it work?

[**ISO disqualification reporting logic enhancement**](https://releasenotes.carta.com/iso-disqualification-reporting-logic-enhancement-4y5Z6w)

## What's new?

To improve reporting related to ISO disqualification dates for holders of ISO option grants that were terminated, we have enhanced the logic used in Carta’s equity reporting suite.

Now an ISO grant will only show as disqualified in the reports if it reaches the statutory 3 month period following termination (or, in the case of a termination due to permanent and total disability or death, one year after the employee’s termination date). Users that require that an ISO grant disqualifies before these dates can enter a manual disqualification date via the [modify workflow](https://support.carta.com/kb/guide/en/guide-to-managing-securities-on-carta-ZjLgqEvKdR/Steps/3724613,3776096).

Carta's exercise flow already includes the disqualification logic above. This update affects only reporting.

## Why are we changing this?

Previously, there was a mismatch between the disqualification logic in Carta’s exercise flows and in the security modal versus in certain Carta reports in regards to the disqualification status for terminated ISOs. For example, if a stakeholder with an ISO grant with a PTEP of 1 year was terminated by the company, the grant would be shown as ISO disqualified before the statutory 3 months had passed in certain Carta reports. However, if the holder exercised that grant through Carta’s exercise flow within the initial 3 months post termination, the grant type, the tax treatment of the grant displayed to the holder, and the resulting records would reflect the exercise of an ISO in the Exercised and Settled Report.

With this update, for the example above, up until the initial 3 months pass, the grant will not reflect ISO disqualification in Carta reports. It will reflect an ISO disqualification date in Carta reports only once the 3 months statutory period is over.

[**NEW: Look-through Ownership**](https://releasenotes.carta.com/new-look-through-ownership-2rvG7K)

We've made a huge upgrade to our LLC product to support Look-through Ownership reporting, eliminating the complexity of tracking multi-entity ownership structures.

## What's new?

Look-through Ownership allows you to easily look through intermediate entities on an LLC multi-entity cap table to understand a holder's true ownership in the operating company.

For supported customers, you’ll find a new “Look-through Ownership” option in the cap table view dropdown. Selecting this option will display a completely new view into the owning entity and holding entity relationships across complex legal structures.

- Complete Look-Through Visibility: See true ownership percentages that cut through intermediate entities, such as holdcos, to clearly understand the parent holders of the operating company—giving you precise exposure calculations for strategic decisions.
- Interactive Ownership Mapping: Click through ownership percentages to explore the complete ownership chain with a new UI that highlights all ownership layers and directly maps owning entity to holding entity relationships.
- True-to-Legal Structure Representation: Maintain the actual legal structure of your portfolio company while gaining blended ownership insights, supporting accurate compliance reporting for KYC, taxes, and regulatory requirements.
- Automated Exposure Calculations: Eliminate manual Excel consolidation and reduce errors with automated ownership calculations that update in real-time as your structure changes.

## What's important about this change?

While multi-entity structures create various efficiencies for portfolio companies and their investors, they also create reporting challenges. Previously, calculating ownership across a web of relationships required exporting data from multiple sources and manually combining it in Excel, an error-prone, time consuming approach that easily becomes unwieldy as structures grow more complex.

On Carta, look-through ownership calculations are now automatically generated within your cap table view, giving CFOs and investment teams immediate access to accurate exposure data for exit decisions, LP requests, and regulatory compliance.

## How does it work?

- Contact your dedicated Account Director to schedule a call to enable Look-through Ownership for eligible portfolio companies
- Navigate to your LLC cap table and locate the new "Look-through Ownership" option in the cap table view dropdown menu
- Click on any ownership percentage to explore the full entity chain and ownership layers

[**Updated QSBS Attestation to maximize new exclusions and benefits**](https://releasenotes.carta.com/updated-qsbs-attestation-to-maximize-new-exclusions-and-benefits-1ez1GE)

With H.R. 1, the “One Big Beautiful Bill Act” (OBBB) now in effect, we’ve updated Carta’s Qualified Small Business Stock (QSBS) Attestation to help you and your shareholders track eligibility and take full advantage of the new benefits.

**What’s new?**

**Support for shorter holding periods:** for shares issued on or after July 4, 2025, Carta now tracks eligibility for a partial QSBS exclusion after three years (50%) and four years (75%), with full 100% exclusion available after 5 years.

**Support for the new $75M asset cap:** Carta automatically checks if newly issued shares qualify under the updated $75M aggregate gross asset limit—so you can confidently verify QSBS eligibility at the time of grant.

**Expanded individual gain exclusion**: Shareholder letters and eligibility summaries now reflect the increased $15M per-person gain exclusion, unlocking even greater potential tax savings.

**Updated dashboard indicators**: Carta dashboards and reports now show eligibility based on new QSBS rules and issuance windows. This makes it easier for companies and shareholders to understand their status at a glance.

**Why is this valuable?**

The new QSBS rules offer significant opportunities for tax savings—but only if companies can accurately track and prove eligibility. Carta’s updates simplify this process. By automating complex eligibility checks and updating shareholder documentation in real time, companies can:

- Maximize potential QSBS tax exclusions across new and existing grants
- Confidently communicate eligibility status to founders, employees, and investors
- Maintain audit-ready records with less manual effort

These upgrades ensure every eligible shareholder is in a position to receive the full benefits of the new law, with built-in transparency and peace of mind.

**How do I access the updated attestation?**

No action needed, these updates have already been applied to all active QSBS Attestations and portfolios holding QSBS-eligible shares. If you have questions or would like a walkthrough, reach out to your Customer Success team or visit our [Help Center](https://support.carta.com/).

**Anything else to know?**

Our team is closely monitoring policy changes and will proactively revisit your company’s QSBS analysis to help you unlock new shareholder opportunities and ensure your audit records remain up to date.

[**New way to track overdraw shares from the equity plan**](https://releasenotes.carta.com/new-way-to-track-overdraw-shares-from-the-equity-plan-4wWdl6)

## What’s new?

All equity awards are now tracked via the _**Equity awards exceeds equity plan size**_ health check.

**When is the health check flagged?**

The health check is triggered whenever an issuer has more shares issued from their equity plan than shares available at any given date. Each row in the health check indicates the dates when one or more equity award was issued and overdrew the equity plan.

To check which awards are triggering the health check navigate to Essentials > Run Reports, search for the [Equity Plan Report](https://support.carta.com/kb/guide/en/how-to-export-the-equity-plan-report-com7b20nW0/Steps/3724540), and review awards issued on the overdraw dates to identify contributing securities.

**How can I fix the health check?**

There are two ways to fix the health check:

1\. [Modify the security](https://support.carta.com/kb/guide/en/guide-to-managing-securities-on-carta-ZjLgqEvKdR/Steps/3724613) that triggered the health check to be so its issue date matches a time when the company has enough available shares in the equity plan.

2\. [Amend your equity plan](https://support.carta.com/kb/guide/en/how-to-manage-your-companys-equity-plans-hPn3OPIflt/Steps/3772660,3772615) to increase the number of shares available at the overdrawn dates.

[**ILPA-compliant notices for partner-level reporting**](https://releasenotes.carta.com/ilpa-compliant-notices-for-partner-level-reporting-18SM2k)

**What’s new?**

Partner-level ILPA notices are now available on Carta, making ILPA reporting faster, easier, and more reliable. With this update, you can generate, review, and distribute ILPA notices directly within Carta, at the same time as standard capital call and distribution notices.

### What’s important about this change?

For firms, preparing ILPA-compliant notices for LPs is often an additional task alongside standard notices. It can require multiple software tools and manual efforts to book activity and prepare the outputs, adding time and complexity to a firm’s reporting workload.

On Carta, ILPA notices are now automatically generated and distributed at the same time as standard notices, streamlining the process for firms and ensuring all LPs receive them simultaneously.

### How does it work?

1. Ask your Carta team to switch on ILPA reporting for your fund
2. Request a capital call or distribution following the standard workflow
3. Review the ILPA-formatted notices in the app alongside the standard notices
4. Once approved, the appropriate notices are distributed to your LPs

After clicking Reset paybands you will be asked to confirm your choice. Once you confirm, all of your paybands will be reset based on your current Compensation Plan.

[**Updated US and International geographic adjustments**](https://releasenotes.carta.com/updated-us-and-international-geographic-adjustments-3l7Gne)

## What’s new?

We have updated US geographic adjustments for all metro areas as well as international market adjustments and currency conversions.

US geographic adjustments are generally stable versus 2024. In the largest metro areas where we have employee level data, pay levels have increased at a lower rate than our top labor markets resulting in some lower adjustments vs. last year. For international locations, salary and/or equity adjustments have changed by more than 10% in Poland and South Korea. We observed 5-10% changes in a number of other countries including China, Germany, France, and Japan. These changes are driven by market trends as well as increased sample size in many of these countries.

## How do I update my benchmark version?

[**Multi-party Collaboration in Closings**](https://releasenotes.carta.com/multi-party-collaboration-in-closings-U6g1O)

# What's new?

We've enhanced Carta Closings to support sophisticated investors and streamline the fundraising process with multi-party collaboration. This major update transforms Closings from a single-user experience into a collaborative platform where multiple LP contacts can access and complete the subscription process simultaneously.

With multi-party, GPs can share access to multiple contacts, including themselves, and LPs can invite multiple contacts (e.g. wealth advisors, lawyers, colleagues, additional signatories) to help complete their subscription documents—all while maintaining complete visibility and control.

# Why is this important?

For sophisticated investors, completing subscription documents often requires input from multiple parties—financial advisors, legal counsel, authorized signatories, and others. Previously, this coordination happened offline through countless emails and document sharing, creating friction and delays.

While individual investors can easily complete forms themselves, larger institutional investors and more sophisticated LPs typically require multiple collaborators to review, complete, and sign subscription documents.

# Key benefits:

### For General Partners:

- **White-glove service:** Pre-fill your LP’s subdocs while also being able to view and edit in-progress investor questionnaires to proactively assist your LPs through the subscription process
- **Enhanced investor management:** Add multiple contacts per investor and proactively designate signatories when sending invitations
- **Broader visibility:** Maintain a comprehensive view of all contacts associated with each LP in an updated investor ledger
- **Multi-party data room access:** All LP contacts can now access your Closings data room when invited

### For Limited Partners:

- **Flexible collaboration:** Add team members, wealth advisors, joint subscribers or other stakeholders to help complete the sections of the questionnaire on your behalf
- **Transparent access & permissions:** Maintain visibility into who has access to the questionnaire and define account contact permissions for managing the investment in Carta.

# How does it work?

### 1️⃣ GP Access to Assist

GPs can now add themselves as an additional contact to prefill LP information and also edit investor questionnaires while they're in progress, allowing them to provide timely assistance to LPs navigating the subscription process. LPs are notified that the GP has this visibility, ensuring transparency throughout.

### 2️⃣ Adding Multiple Collaborators

**For GPs:** When adding a prospective investor, you can now include multiple contacts with their names, email addresses, and signatory roles. You can edit this list before sending invitations and view all contacts in an enhanced investor ledger.

**For LPs:** From the Closings welcome page, you can add or remove contacts, while specifying who has signing authority. New collaborators will receive email invitations to access the subscription.

### 3️⃣ Enhanced Data Room Access

Multiple stakeholders from a single LP entity can now access the Closings data room, ensuring everyone involved can securely access your fund’s information.

# How do I learn more?

## What’s new?

We have updated salary, total cash compensation, and equity benchmarks for all job areas and specializations across both valuation and headcount based peer groups. We have also added benchmarks for 5 new specializations:

- Sales Operations
- HR Operations
- Demand Generation
- Business Intelligence & Analytics
- Onboarding & Implementations

These new benchmarks are available for post-money valuation and capital raised peer groups. Benchmarks based on headcount for these roles, as well as notional equity value benchmarks, will be included in a future release

**Benchmark Trends**

In aggregate, salary and total cash compensation benchmarks are slightly higher than our last release, increasing by about 1%. These increases were consistent across all valuation peer groups and levels. Similar to previous updates, specialization level data continues to change more than the broader sample, as sample sizes for these roles are smaller than job area level data.

Equity benchmarks are increasing in aggregate, showing about a 1.5% increase versus last quarter. Similar to last quarter, increases are fairly tightly correlated with company valuation, with higher valuation benchmarks seeing the largest increases.

#### What were the largest areas of movement from these benchmarks?

Salary - Salary benchmarks for most job areas and specializations are within 2% of last quarter’s data. Legal and Office Management saw the largest increases versus last quarter

Equity - Equity benchmarks are generally within 5% of last quarter’s benchmarks. UX/Frontend Engineering and Manufacturing increased by more than 5%

[**NEW: GP Carry Tracking**](https://releasenotes.carta.com/new-gp-carry-tracking-4i7dTi)

We're introducing GP Carry Tracking to eliminate the complexity and risk of manual carried interest management—creating an entirely new way to automate GP entity accounting and carry administration all in one integrated platform.

## What's new?

We've built GP Carry Tracking from the ground up to solve the challenge of managing complex carry allocations and GP entities that are time-consuming, error-prone, and difficult to track across funds.

- **Two integrated solutions in one platform:** Manage both GP Entities and GP Carry on one platform, with automated data flows between fund-level events and individual GP member allocations.
- **Real time carry & capital account balances:** Fund events that impact the GP entity flow through automatically, enabling interperiod reporting on carry and capital balances for GP members.
- **Complete Carry Visibility:** Track vested and unvested carry percentages, capital commitments, and accrued carry amounts all in one view.
- **Automated PCAP Generation:** Generate and share partner capital account statements directly from Carta, giving GPs full transparency into their carried interest with detailed breakdowns powered by the Carta general ledger.
- **Streamlined Carry Administration:** Issue multiple carry grants to recipients while standardizing vesting plans across your firm. Auto-generate and execute legal documents through templated workflows that eliminate manual document creation.
- **Intelligent Rebalancing:** When unissued or unvested carry gets allocated to managing members, our system automatically records and accounts for these changes with downstream transactions rebalancing carry accordingly.
- **Self-Service GP Portal:** Transform complex legal language into an intuitive interface your partners can explore independently. Access PCAPs, K-1s, and financial reporting without back-and-forth emails or spreadsheet requests.
- **Deep Financial Insights:** Dive into the numbers for any reporting period with views powered by our general ledger that show exactly where each figure originated, with a complete audit trail included.

[**New and improved user access management for Carta Fund Admin customers**](https://releasenotes.carta.com/new-and-improved-user-access-management-for-carta-fund-admin-customers-4cqYeY)

We’ve improved the way you manage user access on Carta Fund Admin with a new layout for the People page and more intuitive permissions workflows. Only the look and feel of the page has changed—underlying access settings for all your users remain the same.

**How it works**

It’s now easier to see permissions at a glance on the People page, with access levels listed under Roles for each user and a breakdown by entity shown by hovering over the table.

Creating a new user is more straightforward, too. Each role is clearly defined during the access configuration process, so you know exactly what permissions you’re granting.

We’ve introduced a new flow for adding service providers – such as auditors – to your Carta account, so you can give external users the right level of access.

You’re also able to copy permissions from an existing user, streamlining the setup process and standardizing access across your firm.

**Why it matters**

With this release, you can manage permissions more efficiently and consistently. It’s now easier for you to ensure firm members and service providers only have access to the data and features necessary for their roles, reducing the risk of unauthorized access.

**Availability**

The new People page is available to all Carta Fund Admin customers. Only account admins are able to view and edit permissions for their firm.

- **Dynamic Tables:** Navigate data easily with sticky headers, infinite scrolling, and dynamic column widths.
- **Flexible Grouping:** Group by Fund to view roll-ups and performance at different aggregation levels.
- **Powerful Tagging:** Create, apply, and filter investment-level tags to organize by geography, industry, fund, or custom categories.

## **Coming Soon**

We're rolling out additional enhancements in the coming weeks:

- **Filter by fund, fund family, or tags:** Easily filter your dashboard view by specific entities, making it faster to find and review exactly what you need.
- **Export your view:** Export everything displayed on your screen, including new asset-level details and any applied filters.

Similar to previous updates, specialization level data continues to change more than the broader sample, as sample sizes for these roles are smaller than job area level data.

Equity benchmarks are increasing in aggregate, showing about a 3% increase versus last quarter.

Social Media Marketing and Logistics & Supply Chain saw the largest increases versus last quarter

Equity - Equity benchmarks are generally within 5% of last quarter’s benchmarks. There is more variation by role in this quarter’s release, with Recruiting, Strategy, and Partnerships showing the largest increases. Mobile, Logistics & Supply Chain, and Art & Graphic Design are showing the largest decreases

[**New for Investors: AI powered Cap table builder**](https://releasenotes.carta.com/new-for-investors-ai-powered-cap-table-builder-2dHVVm)

This week we rolled out a new feature for Investors: **AI powered document extraction in the Cap table builder**. ## How it works:

### 2\. When adding a new company they can input the company name and upload any of the documents they have about the company's ownership structure

### 3\. The cap table builder will read the documents and begin to build out the structure of the cap table

### 4\. The feature will then guide the user through the cap table builder with any field read from the documents pre-filled. This includes the ownership structure and the funds holdings, provided they were available in the Articles of Incorporation and Stock Purchase Agreements.

###

### 5\. You can review and edit any field in the builder. Once complete it will guide you to the capitalization page of the new portfolio company.

##

### 4\. As your portfolio company's cap table evolves over time, you can edit the cap table for any changes using the same workflow.

You can edit the company via the Investments page ( _Investments > Manage portfolio > Edit_) or on the company's capitalization page directly ( _Company > Capitalization > Update cap table_)

## Benefits of using Cap table builder:

[**E-signature witnessing for LP subscription documents**](https://releasenotes.carta.com/e-signature-witnessing-for-lp-subscription-documents-17zVEQ)

LPs can now nominate a witness to provide a digital witness signature to their subscription documents during closings.

**What’s new?**

Certain jurisdictions legally require a witness for subscription documents. A witness is a third-party individual who observes someone signing a document and provides a signature themselves to confirm that the original signature is genuine.

Previously, signature witnessing was a clunky process which involved downloading and signing physical documents. Now, signatures can be securely witnessed online in a few clicks.

**Who is it available for?**

Digital witnessing is available to fund administration customers and their LPs when closing a fund domiciled in the UK, Jersey, Singapore or the Cayman Islands.

**How do I use it?**

As an LP:

Upon signing the subscription documents, you will be prompted to add a witness and enter their details to complete signing. The witness will then receive an email. You can nudge the witness by resending the signature request email.

As a witness:

You will receive an email informing you of the witness signature request.

Follow the link in the email to witness the signature on the LP’s subscription documents.

After you have signed, you’ll receive an email confirming that the process is complete.

As a GP:

You’ll be able to track the progress of signatories within Carta.

When all signatures are complete, you can countersign the subscription documents.

[**Improvements to RSA issuance, acceptance, and termination**](https://releasenotes.carta.com/improvements-to-rsa-issuance-acceptance-and-termination-1c7eGQ)

**What’s New?**

We’re making improvements to streamline Restricted Stock Awards (RSA) management on Carta.

- Automatically assign the issue date once stakeholders accept their RSAs
- Forfeit unvested RSAs at termination instead of repurchasing them
- Clearer legal language and displaying all attached documents during acceptance

**Automatically assign the issue date once stakeholders accept their RSAs**

When RSA payment is complete, company admins can confirm the payment date at Carta to trigger the acceptance workflow in Carta. By automatically populating the issue date as the day of acceptance, this eliminates the need for company admins to retroactively update the RSA issue date.

**How it works**

1. When an RSA has been released from draft, it will appear as a new status called waiting for payment

****

2. Enter payment details by clicking to the right of the table and selecting "Enter payment details"

3. On the enter payment details screen, enter the date the RSA payment was processed offline

4\. Once the RSA has payment date has been entered, the status will change to waiting for acceptance, and the securities will be sent to signatories to review and sign.

5\. The RSA will not have an issue date up until it is accepted by the stakeholder. When the RSA is accepted, the issue date will automatically be assigned as the date accepted.

\-\-\----------------------------

**Forfeit unvested RSAs at termination instead of repurchasing them**

RSAs can now be forfeited rather than repurchased at termination. Users can now choose to automatically forfeit unvested shares or require a repurchase to return shares to the pool.

**How it works**

Under the Unvested RSA Behavior column, user can assign a new status: 'Forfeit unvested shares' to automatically forfeit unvested shares upon termination.

\-\-\----------------------------

**Clearer legal language and displaying all attached documents during acceptance**

During acceptance, RSA recipients will see updated legal language for RSAs, encompassing the legally binding nature of accepting those securities at Carta. Holders must also agree that they have read and accept the attached documents before finalizing acceptance.

**How it works**

New dedicated tab for accepting RSAs

New acceptance screen with updated legal language and new document references

\-\-\----------------------------

**Who is this Available For?**

You can now access these updates as a Carta company administrator. Whether handling standard RSAs or RSAs for services, you’ll find it easier to keep your cap table in sync with legal documentation.

**Anything Else I Need To Know?**

While the attachment of supporting documents is optional during the RSA setup, ensuring they’re available during the review can help streamline administrative reviews and future audits. [**Attach a separate file when sharing financials with LPs**](https://releasenotes.carta.com/attach-a-separate-file-when-sharing-financials-with-lps-4a2KSA)

When your financials are ready to be published, you now have the option to share them with a separate file attachment instead of grouping the attached file to the financials document. This means that your LPs will receive 2-3 separate files (depending on if you are also sharing PCAPs) in their Carta account and/or email for them to download.

To do this, navigate to the financial package that is ready to approve. Select approve and publish or approve and schedule. Check yes next to the question 'Would you like to send the package with an attachment?' and select 'Attach as separate file' to the question 'How would you like to attach the file?'. You will then upload the file, indicate what type of document it is, and name it.

Once published, you will see the documents in the Fund > Partners > Documents page. That same document can be found on the LPs side in their portfolio.

If you selected to notify the LP about the documents shared, the LP will receive an email notifying them of the new documents existence.

[**New: Investments Integration with Carta Fund Forecasting**](https://releasenotes.carta.com/new-investments-integration-with-carta-fund-forecasting-3QJcT6)

Carta Fund Forecasting now integrates real time cap table data into its forecasting and planning platform. The direct connection to Carta streamlines the process of adding investments data in Carta Fund Forecasting, providing fund managers the ability to make data-backed decisions with greater speed and accuracy.

**Why is this valuable:**

Historically, investment updates have needed to be manually uploaded and maintained in Carta Fund Forecasting. This process is often time-consuming and error-prone, making it difficult to ensure current forecasting for your fund is accurate and up to date.

You can now sync ownership and financing history for all portfolio companies tracked on Carta. Starting from the fund's initial investment, all subsequent financing rounds will get pulled into Carta Fund Forecasting, regardless of whether you participated or not. The new Tasks and Notifications page will also prompt weekly in-app notifications and review for cap table updates including new rounds for existing investments, net new investments, and newly granted cap table access.

Overall, the integration accelerates your ability to leverage Carta Fund Forecasting’s powerful modeling tools and insights. With immediate access to real time cap table data, you can more quickly track how you're following your original fund construction plan across pacing, reserve optimizations, portfolio insights, and more.

**Who is this available for:**

This integration is available for all Carta Fund Forecasting customers who have an investment firm account in Carta, with accepted securities issued from portfolio companies on Carta.  If you need assistance with portfolio consolidation to one main firm account, reach out to our team at [fund-forecasting@carta.com](mailto:fund-forecasting@carta.com).

**How does it work:**

### 1️⃣ Set up the integration by going through investment mapping and data review workflow in Carta Fund Forecasting

### 2️⃣ Once data has been approved, Performance Cases in the respective Investments page will update with Carta sourced data

### 3️⃣ Re-sync Carta data on demand, prompting review and approval for Carta updates across new rounds for existing investments, net new investments, and newly granted cap table access.

[**A New Standard for Closings**](https://releasenotes.carta.com/a-new-standard-for-closings-PnX2w)

## What’s new?

We’ve enhanced Carta Closings to give General Partners (GPs) greater visibility into their fundraising progress and provide Limited Partners (LPs) with more flexibility in how they complete subscription documents.

With these updates, GPs can now set clear fundraising goals, manage prospective investors across their pipeline, track progress in real time, and upload offline documents for institutional LPs. LPs also gain multiple signing options to make their subscription process more flexible.

## Why is this important?

Fundraising can involve countless emails, manual document handling, and a lack of clear tracking. With these improvements, GPs can better manage their fundraise all in one place while offering LPs a smoother, more efficient signing process.

### Key benefits:

✅ **Flexible LP signing options**– LPs can complete online, download and sign manually, or delegate the task.

✅ **Clear fundraising tracking** – Set and monitor a fundraising goal with real-time updates while simplifying investor management throughout each stage of your fundraise.

✅ **Simplified document workflows** – GPs can upload countersigned subscription documents directly in Carta, eliminating email follow-ups.

✅ **Streamlined investor management** – View and take quick actions based on the stage of your prospective investors. You can additionally filter by status, view KYC results, and archive any prospective LPs who aren’t moving forward.

## How does it work?

### 1️⃣ Flexible Investor Signing Options

LPs can now choose how they want to complete subscription documents:

- Complete and sign online
- Download to complete manually, sign, and re-upload
- Delegate to someone else

### 2️⃣ Track Your Fundraising Goal

GPs can now set a fundraising target in Carta and track progress across every stage of their fundraise.

### 3️⃣ Upload Countersigned Subdocs Directly

For LPs who prefer to complete documents offline from the start, GPs can now upload fully executed subdocs directly into Carta.

### 4️⃣ Manage Your Investor Pipeline

Easily organize your investor pipeline through status filters, gain real-time visibility into each investor's KYC process, and archive LPs who aren’t moving forward. Archived investors are still accessible via a “Show archived” filter for future reference.

[**Financial Reporting milestone support and a new revamped UI**](https://releasenotes.carta.com/financial-reporting-milestone-support-and-a-new-revamped-ui-2oVDEY)

Financial Reporting is improving the vesting schedule types supported and updating the UI so it's easier than ever to set it up and generate reports.

## What's new?

### New milestone award support

Milestones are a type of vesting schedule that can be set up at the grant level and that are vested by admins upon holders accomplishing certain achievements. Milestones can be used as a catch all alternative where a performance condition will not suffice. See [this support article](https://support.carta.com/kb/guide/en/how-to-manage-vesting-and-performance-conditions-xyhucWVarK/Steps/3719525,3773684,3773722,3773695,3773715,3773740,3773697,3773820) for information of what vesting schedule types fall under 'milestone vesting' at Carta.

Milestone awards that were granted historically will true up on the next report run in Financial Reporting. Any expense that would have been attached to these historically will be booked in the most recently run period. Contact [718@carta.com](mailto:718@carta.com) if you would like to discuss how to treat these awards.

Milestone awards with performance conditions are not supported at this point and will show at the errors tab of the disclosure report.

### New revamped UI

1\. New landing page (for new users)

2\. Reduced workflow for setup by applying sensible defaults so users can generate reports with 1 click (for new users only).

3\. Dedicated page showing the latest report, so users can easily access it and download again (for all users).

4\. New manage settings button (for all users).

5\. New report button now located in the report workflow modal (for all users).

## Who is this available for?

Nearly all Financial Reporting customers have been updated. If you do not see this new view, please contact [718@carta.com](mailto:718@carta.com) for options on how to get this view enabled.
