We've made a huge upgrade to our LLC product to support Look-through Ownership reporting, eliminating the complexity of tracking multi-entity ownership structures.
What's new?
Look-through Ownership allows you to easily look through intermediate entities on an LLC multi-entity cap table to understand a holder's true ownership in the operating company.
For supported customers, you’ll find a new “Look-through Ownership” option in the cap table view dropdown. Selecting this option will display a completely new view into the owning entity and holding entity relationships across complex legal structures.
- Complete Look-Through Visibility: See true ownership percentages that cut through intermediate entities, such as holdcos, to clearly understand the parent holders of the operating company—giving you precise exposure calculations for strategic decisions.
- Interactive Ownership Mapping: Click through ownership percentages to explore the complete ownership chain with a new UI that highlights all ownership layers and directly maps owning entity to holding entity relationships.
- True-to-Legal Structure Representation: Maintain the actual legal structure of your portfolio company while gaining blended ownership insights, supporting accurate compliance reporting for KYC, taxes, and regulatory requirements.
- Automated Exposure Calculations: Eliminate manual Excel consolidation and reduce errors with automated ownership calculations that update in real-time as your structure changes.
What's important about this change?
While multi-entity structures create various efficiencies for portfolio companies and their investors, they also create reporting challenges. Previously, calculating ownership across a web of relationships required exporting data from multiple sources and manually combining it in Excel, an error-prone, time consuming approach that easily becomes unwieldy as structures grow more complex.
On Carta, look-through ownership calculations are now automatically generated within your cap table view, giving CFOs and investment teams immediate access to accurate exposure data for exit decisions, LP requests, and regulatory compliance.
How does it work?
- Contact your dedicated Account Director to schedule a call to enable Look-through Ownership for eligible portfolio companies
- Navigate to your LLC cap table and locate the new "Look-through Ownership" option in the cap table view dropdown menu
- Click on any ownership percentage to explore the full entity chain and ownership layers

Updated QSBS Attestation to maximize new exclusions and benefits
With H.R. 1, the “One Big Beautiful Bill Act” (OBBB) now in effect, we’ve updated Carta’s Qualified Small Business Stock (QSBS) Attestation to help you and your shareholders track eligibility and take full advantage of the new benefits.
What’s new?
Support for shorter holding periods: for shares issued on or after July 4, 2025, Carta now tracks eligibility for a partial QSBS exclusion after three years (50%) and four years (75%), with full 100% exclusion available after 5 years.
Support for the new $75M asset cap: Carta automatically checks if newly issued shares qualify under the updated $75M aggregate gross asset limit—so you can confidently verify QSBS eligibility at the time of grant.
Expanded individual gain exclusion: Shareholder letters and eligibility summaries now reflect the increased $15M per-person gain exclusion, unlocking even greater potential tax savings.
Updated dashboard indicators: Carta dashboards and reports now show eligibility based on new QSBS rules and issuance windows. This makes it easier for companies and shareholders to understand their status at a glance.
Why is this valuable?
The new QSBS rules offer significant opportunities for tax savings—but only if companies can accurately track and prove eligibility. Carta’s updates simplify this process. By automating complex eligibility checks and updating shareholder documentation in real time, companies can:
- Maximize potential QSBS tax exclusions across new and existing grants
- Confidently communicate eligibility status to founders, employees, and investors
- Maintain audit-ready records with less manual effort
These upgrades ensure every eligible shareholder is in a position to receive the full benefits of the new law, with built-in transparency and peace of mind.
How do I access the updated attestation?
No action needed, these updates have already been applied to all active QSBS Attestations and portfolios holding QSBS-eligible shares. If you have questions or would like a walkthrough, reach out to your Customer Success team or visit our Help Center.

New way to track overdraw shares from the equity plan
What’s new?
All equity awards are now tracked via the Equity awards exceeds equity plan size health check.
When is the health check flagged?
The health check is triggered whenever an issuer has more shares issued from their equity plan than shares available at any given date. Each row in the health check indicates the dates when one or more equity award was issued and overdrew the equity plan.
To check which awards are triggering the health check navigate to Essentials > Run Reports, search for the Equity Plan Report, and review awards issued on the overdraw dates to identify contributing securities.
How can I fix the health check?
There are two ways to fix the health check:
1. Modify the security that triggered the health check to be so its issue date matches a time when the company has enough available shares in the equity plan.
2. Amend your equity plan to increase the number of shares available at the overdrawn dates.

ILPA-compliant notices for partner-level reporting
What’s new?
Partner-level ILPA notices are now available on Carta, making ILPA reporting faster, easier, and more reliable. With this update, you can generate, review, and distribute ILPA notices directly within Carta, at the same time as standard capital call and distribution notices.
What’s important about this change?
For firms, preparing ILPA-compliant notices for LPs is often an additional task alongside standard notices. It can require multiple software tools and manual efforts to book activity and prepare the outputs, adding time and complexity to a firm’s reporting workload.
On Carta, ILPA notices are now automatically generated and distributed at the same time as standard notices, streamlining the process for firms and ensuring all LPs receive them simultaneously.
How does it work?
- Ask your Carta team to switch on ILPA reporting for your fund
- Request a capital call or distribution following the standard workflow
- Review the ILPA-formatted notices in the app alongside the standard notices
- Once approved, the appropriate notices are distributed to your LPs

What’s new?
We have made two improvements to paybands to make setting and updating bands easier:
- Reset bands - you can now reset paybands based on your current Compensation Plan or, after updating your Plan, reset them based on your updated compensation philosophy
- Automatic calculations for minimums and maximums - when updating payband targets, the minimum and maximum of the band that you are editing will automatically update based on your paybands settings
How do I reset paybands?
- Navigate to the Paybands page
- In the upper right corner, click the “Reset paybands” button
After clicking Reset paybands you will be asked to confirm your choice. Once you confirm, all of your paybands will be reset based on your current Compensation Plan.
Note that this cannot be undone once you confirm.

Updated US and International geographic adjustments
What’s new?
We have updated US geographic adjustments for all metro areas as well as international market adjustments and currency conversions.
US geographic adjustments are generally stable versus 2024. In the largest metro areas where we have employee level data, pay levels have increased at a lower rate than our top labor markets resulting in some lower adjustments vs. last year. For international locations, salary and/or equity adjustments have changed by more than 10% in Poland and South Korea. We observed 5-10% changes in a number of other countries including China, Germany, France, and Japan. These changes are driven by market trends as well as increased sample size in many of these countries.
How do I update my benchmark version?
You can preview the new benchmarks (using updated geographic adjustments) on your Scorecard by navigating to the Benchmarks page and clicking on the "Preview benchmarks" bubble in the top left.
Here you will have the opportunity to preview the new plan with the updated benchmarks version and assess their impact on your Scorecard before accepting the new plan.

We’re excited to announce a major refresh of the Carta Fund Forecasting <> investments integration that offers enhanced customization and greater control. With a redesigned integration review flow and an upgraded data sync powered by Carta's Schedule of Investments (SOI), these updates make it easier than ever to build and maintain accurate historical performance cases in Carta Fund Forecasting.

Multi-party Collaboration in Closings
What's new?
We've enhanced Carta Closings to support sophisticated investors and streamline the fundraising process with multi-party collaboration. This major update transforms Closings from a single-user experience into a collaborative platform where multiple LP contacts can access and complete the subscription process simultaneously.
With multi-party, GPs can share access to multiple contacts, including themselves, and LPs can invite multiple contacts (e.g. wealth advisors, lawyers, colleagues, additional signatories) to help complete their subscription documents—all while maintaining complete visibility and control.
Why is this important?
For sophisticated investors, completing subscription documents often requires input from multiple parties—financial advisors, legal counsel, authorized signatories, and others. Previously, this coordination happened offline through countless emails and document sharing, creating friction and delays.
While individual investors can easily complete forms themselves, larger institutional investors and more sophisticated LPs typically require multiple collaborators to review, complete, and sign subscription documents.

For General Partners:
- White-glove service: Pre-fill your LP’s subdocs while also being able to view and edit in-progress investor questionnaires to proactively assist your LPs through the subscription process
- Enhanced investor management: Add multiple contacts per investor and proactively designate signatories when sending invitations
- Broader visibility: Maintain a comprehensive view of all contacts associated with each LP in an updated investor ledger

How does it work?
1️⃣ GP Access to Assist
GPs can now add themselves as an additional contact to prefill LP information and also edit investor questionnaires while they're in progress, allowing them to provide timely assistance to LPs navigating the subscription process. LPs are notified that the GP has this visibility, ensuring transparency throughout.
2️⃣ Adding Multiple Collaborators
For GPs: When adding a prospective investor, you can now include multiple contacts with their names, email addresses, and signatory roles. You can edit this list before sending invitations and view all contacts in an enhanced investor ledger.
For LPs: From the Closings welcome page, you can add or remove contacts, while specifying who has signing authority. New collaborators will receive email invitations to access the subscription.
3️⃣ Enhanced Data Room Access
Multiple stakeholders from a single LP entity can now access the Closings data room, ensuring everyone involved can securely access your fund’s information.

Equity benchmarks for board members and advisors
What’s new?
We are launching a new set of benchmarks to help companies make data-driven decisions for board member and advisor equity grants.
These new benchmarks are based on initial equity grants to board members and advisors that have been issued since January 2024, and are shown based on post-money valuation.
How can I access the new Benchmarks?
- Navigate to the Benchmarks page in Carta Total Compensation
- Navigate to the “Board members and Advisors" tab on the Benchmarks page
The appropriate benchmarks, based on your company’s valuation, will be highlighted on the page.

Quarterly benchmark refresh - Q2 2025
What’s new?
We have updated salary, total cash compensation, and equity benchmarks for all job areas and specializations across both valuation and headcount based peer groups. We have also added benchmarks for 5 new specializations:
- Sales Operations
- HR Operations
- Demand Generation
- Business Intelligence & Analytics
- Onboarding & Implementations
These new benchmarks are available for post-money valuation and capital raised peer groups. Benchmarks based on headcount for these roles, as well as notional equity value benchmarks, will be included in a future release
Benchmark Trends
In aggregate, salary and total cash compensation benchmarks are slightly higher than our last release, increasing by about 1%. These increases were consistent across all valuation peer groups and levels. Similar to previous updates, specialization level data continues to change more than the broader sample, as sample sizes for these roles are smaller than job area level data.
Equity benchmarks are increasing in aggregate, showing about a 1.5% increase versus last quarter. Similar to last quarter, increases are fairly tightly correlated with company valuation, with higher valuation benchmarks seeing the largest increases.
What were the largest areas of movement from these benchmarks?
Salary - Salary benchmarks for most job areas and specializations are within 2% of last quarter’s data. Legal and Office Management saw the largest increases versus last quarter
Equity - Equity benchmarks are generally within 5% of last quarter’s benchmarks. UX/Frontend Engineering and Manufacturing increased by more than 5%

New and improved user access management for Carta Fund Admin customers
We’ve improved the way you manage user access on Carta Fund Admin with a new layout for the People page and more intuitive permissions workflows. Only the look and feel of the page has changed—underlying access settings for all your users remain the same.
How it works
It’s now easier to see permissions at a glance on the People page, with access levels listed under Roles for each user and a breakdown by entity shown by hovering over the table.
Creating a new user is more straightforward, too. Each role is clearly defined during the access configuration process, so you know exactly what permissions you’re granting.
We’ve introduced a new flow for adding service providers – such as auditors – to your Carta account, so you can give external users the right level of access.
You’re also able to copy permissions from an existing user, streamlining the setup process and standardizing access across your firm.
Why it matters
With this release, you can manage permissions more efficiently and consistently. It’s now easier for you to ensure firm members and service providers only have access to the data and features necessary for their roles, reducing the risk of unauthorized access.
Availability
The new People page is available to all Carta Fund Admin customers. Only account admins are able to view and edit permissions for their firm.

We’ve started rolling out major upgrades that significantly improve your ability to view and customize investment data at the firm, fund, and portfolio company level.
- More data: We've introduced new metrics and integrated asset-level data directly into the new experience. Instead of navigating separately to your fund view to the metrics on the SOI, everything now lives here.
- Dynamic Tables: Navigate data easily with sticky headers, infinite scrolling, and dynamic column widths.

What’s new?
We've made general UI/UX improvements to the hiring plan tool that is part of the Manage Employees experience. We've also added the ability to save and delete individual hiring plans that can then be incorporated into the Equity Pool Forecast for your company.
How do I create and save a hiring plan?
- Navigate to Manage Employees
- Click on "Launch Hiring Planner"
- Click "New Hiring Plan", type in a name for your plan, and click "Create New Plan"
Once you've created a hiring plan you can add/delete potential hires, rename the plan, or delete the plan.
How do I incorporate a hiring plan into my equity pool forecast?
When you have added all potential hires to your hiring plan, click on "View Detailed Forecast" in the banner below the hiring plan
On the equity pool forecast page, select the hiring plan that you'd like to include in the forecast

Geographic adjustments for Canadian cities
What’s new?
We have added new geographic adjustment factors for three cities in Canada: Vancouver, Toronto, and Montreal. The rest of Canada will now have its own geo-adjustments for salary and equity
How do I view new benchmarks?
In order to see city-specific geo-adjustments for Canada you will need to update your benchmark version. You can update your benchmark version by navigating to the Benchmarks page and clicking on the "Preview benchmarks" bubble in the top left.
Once your benchmark version has been updated you will be able to see the new adjustments on the Benchmarks page, within your Compensation Plan, and both the Company and Employee Scorecards

New: Share company financial statements via Investor Updates on Carta
What’s New
Easily and securely share financial statements as part of your investor updates. Connect directly to your accounting system, select the desired time frame, and include a one-time snapshot of your financials in your next investor update – all within Carta’s investor updates tool.
Why is it Valuable
Most portfolio companies send investor updates once a quarter. With a one-time setup to connect your accounting system, you can make all future updates faster, easier, and more comprehensive for both you and your investors.
Easily select and review financial statements before sending. Using Carta’s communication center, you can control who sees your data, conveniently import your investor list from the cap table, and allow investors to securely view and reply to your updates—including cap table and financial statements–all in one centralized, trackable location.
How does it work
You can set this up by:
Get your Quickbooks or accounting software login information
Navigating to your Carta account
Go to the Communications Center
Click on ‘New Message’
Choose any template you want to update your shareholders about
Under import financials click Connect to use QuickBooks or See all for the other providers available
Once you’ve prepared connecting your accounting system and composed your investor update, you can review your financial statements.
In the review screen you view the data from your accounting system, select the period, and add notes you want your investors to see alongside the data.
After you submit the investor update message with the imported financials, the financials will appear under Company Financials view.
What recipients will see:
After a message is sent, the recipient receives an email notification with a link to view it.
New users are prompted to create an account, while existing users are taken directly to their Carta inbox.
If financials have been imported, the investor will be able to click View Company Financials link and view the uploaded documents directly in the Financials tab, monthly and quarterly view.
Who is this for?
Authorized company administrators or users with the new Investor Relations permission, can set up the financial integration and send messages to investors through the communications center.

What’s new?
We have added a new peer group category to view salary, total cash compensation, and equity benchmarks – based on capital raised.
How do I view new benchmarks?
You can view the new capital raised-based benchmarks by visiting the Benchmarks page and selecting the peer group filter. The new peer groups will be in the dropdown alongside the current peer groups based on post-money valuation and headcount.
How do I use these new benchmarks in my Compensation Plan and Scorecards?
We are working on a future update that will allow companies to use any of our peer groups in their Compensation Plans and Scorecard.

Quarterly benchmark refresh - Q1 2025
What’s new?
We have updated salary, total cash compensation, and equity benchmarks for all job areas and specializations across both valuation and headcount based peer groups.
Benchmark Trends
In aggregate, salary and total cash compensation benchmarks are slightly higher than our last release, increasing by a bit more than 1%. These increases were consistent across all valuation peer groups and levels. Similar to previous updates, specialization level data continues to change more than the broader sample, as sample sizes for these roles are smaller than job area level data.
Equity benchmarks are increasing in aggregate, showing about a 3% increase versus last quarter. Similar to last quarter, increases are fairly tightly correlated with company valuation, with higher valuation benchmarks seeing the largest increases.
What were the largest areas of movement from these benchmarks?
Salary - Salary benchmarks for most job areas and specializations are within 2% of last quarter’s data. Social Media Marketing and Logistics & Supply Chain saw the largest increases versus last quarter
Equity - Equity benchmarks are generally within 5% of last quarter’s benchmarks. There is more variation by role in this quarter’s release, with Recruiting, Strategy, and Partnerships showing the largest increases. Mobile, Logistics & Supply Chain, and Art & Graphic Design are showing the largest decreases

New for Investors: AI powered Cap table builder
This week we rolled out a new feature for Investors: AI powered document extraction in the Cap table builder. Investors can now upload relevant documents about a company in their portfolio (Articles of Incorporations, Stock Purchase Agreements, Convertible note and SAFE agreements, have those documents automatically populate the fields the cap table builder.
How it works:
1. Investors can add a new company (or edit an existing company) in their portfolio
2. When adding a new company they can input the company name and upload any of the documents they have about the company's ownership structure
3. The cap table builder will read the documents and begin to build out the structure of the cap table
4. The feature will then guide the user through the cap table builder with any field read from the documents pre-filled. This includes the ownership structure and the funds holdings, provided they were available in the Articles of Incorporation and Stock Purchase Agreements.
5. You can review and edit any field in the builder. Once complete it will guide you to the capitalization page of the new portfolio company.
4. As your portfolio company's cap table evolves over time, you can edit the cap table for any changes using the same workflow.
You can edit the company via the Investments page ( Investments > Manage portfolio > Edit) or on the company's capitalization page directly ( Company > Capitalization > Update cap table)
Benefits of using Cap table builder:
- The cap table builder allows investors to load in any of their portfolio companies not using Carta to share their cap table with them.
- By adding a portfolio companies cap table into their portfolio, investors can:
- Use the Scenario modeling and waterfall tools
- Create and run ASC 820 valuations
- Track ownership over time
- Have a single source of truth for all their portfolio companies' cap tables.
As part of this release we are now enabling Cap table builder for all funds who pay for any of Carta's fund products!

Bulk Review and Accept Certificates
This week we are rolling out the ability for users to bulk review and accept certificates sent to them on Carta. This release enables investors to bulk accept certificates with portfolio matches, significantly reduces the time needed to accept. The new experience includes: improved user experience, new tooltips, ability to bulk sign and request table access.

E-signature witnessing for LP subscription documents
LPs can now nominate a witness to provide a digital witness signature to their subscription documents during closings.
What’s new?
Certain jurisdictions legally require a witness for subscription documents. A witness is a third-party individual who observes someone signing a document and provides a signature themselves to confirm that the original signature is genuine.
Previously, signature witnessing was a clunky process which involved downloading and signing physical documents. Now, signatures can be securely witnessed online in a few clicks.
Who is it available for?
Digital witnessing is available to fund administration customers and their LPs when closing a fund domiciled in the UK, Jersey, Singapore or the Cayman Islands.
How do I use it?
As an LP:
Upon signing the subscription documents, you will be prompted to add a witness and enter their details to complete signing. The witness will then receive an email. You can nudge the witness by resending the signature request email.
As a witness:
You will receive an email informing you of the witness signature request.
Follow the link in the email to witness the signature on the LP’s subscription documents.
After you have signed, you’ll receive an email confirming that the process is complete.
As a GP:
You’ll be able to track the progress of signatories within Carta.
When all signatures are complete, you can countersign the subscription documents.

Improvements to RSA issuance, acceptance, and termination
What’s New?
We’re making improvements to streamline Restricted Stock Awards (RSA) management on Carta.
- Automatically assign the issue date once stakeholders accept their RSAs
- Forfeit unvested RSAs at termination instead of repurchasing them
- Clearer legal language and displaying all attached documents during acceptance
Automatically assign the issue date once stakeholders accept their RSAs
When RSA payment is complete, company admins can confirm the payment date at Carta to trigger the acceptance workflow in Carta. By automatically populating the issue date as the day of acceptance, this eliminates the need for company admins to retroactively update the RSA issue date.
How it works
- When an RSA has been released from draft, it will appear as a new status called waiting for payment
Enter payment details by clicking to the right of the table and selecting "Enter payment details"
On the enter payment details screen, enter the date the RSA payment was processed offline
4. Once the RSA has payment date has been entered, the status will change to waiting for acceptance, and the securities will be sent to signatories to review and sign.
5. The RSA will not have an issue date up until it is accepted by the stakeholder. When the RSA is accepted, the issue date will automatically be assigned as the date accepted.

Forfeit unvested RSAs at termination instead of repurchasing them
RSAs can now be forfeited rather than repurchased at termination. Users can now choose to automatically forfeit unvested shares or require a repurchase to return shares to the pool.
How it works
Under the Unvested RSA Behavior column, user can assign a new status: 'Forfeit unvested shares' to automatically forfeit unvested shares upon termination.

Clearer legal language and displaying all attached documents during acceptance
During acceptance, RSA recipients will see updated legal language for RSAs, encompassing the legally binding nature of accepting those securities at Carta. Holders must also agree that they have read and accept the attached documents before finalizing acceptance.

You can now access these updates as a Carta company administrator. Whether handling standard RSAs or RSAs for services, you’ll find it easier to keep your cap table in sync with legal documentation.

Attach a separate file when sharing financials with LPs
When your financials are ready to be published, you now have the option to share them with a separate file attachment instead of grouping the attached file to the financials document. This means that your LPs will receive 2-3 separate files (depending on if you are also sharing PCAPs) in their Carta account and/or email for them to download.
To do this, navigate to the financial package that is ready to approve. Select approve and publish or approve and schedule. Check yes next to the question 'Would you like to send the package with an attachment?' and select 'Attach as separate file' to the question 'How would you like to attach the file?'. You will then upload the file, indicate what type of document it is, and name it.
Once published, you will see the documents in the Fund > Partners > Documents page. That same document can be found on the LPs side in their portfolio.
If you selected to notify the LP about the documents shared, the LP will receive an email notifying them of the new documents existence.

New: Investments Integration with Carta Fund Forecasting
Carta Fund Forecasting now integrates real time cap table data into its forecasting and planning platform. The direct connection to Carta streamlines the process of adding investments data in Carta Fund Forecasting, providing fund managers the ability to make data-backed decisions with greater speed and accuracy.
Why is this valuable:
Historically, investment updates have needed to be manually uploaded and maintained in Carta Fund Forecasting. This process is often time-consuming and error-prone, making it difficult to ensure current forecasting for your fund is accurate and up to date.
You can now sync ownership and financing history for all portfolio companies tracked on Carta. Starting from the fund's initial investment, all subsequent financing rounds will get pulled into Carta Fund Forecasting, regardless of whether you participated or not. The new Tasks and Notifications page will also prompt weekly in-app notifications and review for cap table updates including new rounds for existing investments, net new investments, and newly granted cap table access.
Overall, the integration accelerates your ability to leverage Carta Fund Forecasting’s powerful modeling tools and insights. With immediate access to real time cap table data, you can more quickly track how you're following your original fund construction plan across pacing, reserve optimizations, portfolio insights, and more.

This integration is available for all Carta Fund Forecasting customers who have an investment firm account in Carta, with accepted securities issued from portfolio companies on Carta. [Beta] Audit confirmations tool: Ask additional valuation questions
Auditors and funds using our pilot audit confirmations tool, can now include additional questions to portfolio companies they send to the portfolio companies.
For Auditors:
When requesting audit confirmations from portfolio companies, you can now select up to 4 additional questions to gather supporting documentation from the portfolio company:

Companies can respond to audit confirmations and optionally attach documents to answer the additional questions asked by their investor's auditors.
Companies using Carta for cap table management can select and share documents already on the platform, or grant investors access to the needed data with just a couple of clicks.

Waterfall/Exit modeling support for Change in Control premium's on convertible notes
Companies and investors using our waterfall and exit modeling tools, can now model out the impact of a Change in control premium on their convertible notes. The waterfall tool will now calculate the payout value for convertibles based on the change in control premium and the exit value inputed.
Example: Investor's view of an exit with Convertible notes that have 200% change in control premium
Companies and shareholders can review the terms of a convertible note in the Certificate details modal in their portfolio or on their cap table.

- An in-app formation process that guides Lead Partners through each step

Get Started guide for companies signing for QSBS Attestation
We've launched a new guided "Get started" workflow for companies that sign up to get QSBS Attestations from Carta. After signing up for a QSBS review with Carta the feature will guide you to provide the Carta Valuations and Tax team the necessary information to perform the attestation.
After signing up the guide simplifies the process of connecting a your company's accounting provider to Carta, making it easy to provide the necessary financial data for your QSBS attestation. This integration will help Carta's QSBS Delivery reduce the back and forth needed to collect historical financial information about your company
For companies that either do not use one of our supported accounting providers, the guide offers a way to manually upload financial statements, guided by questions that adapt based on your companies size and stage.

Closings for Cayman-domiciled funds
What’s new?
Global investors often choose to domicile funds in the Cayman Islands, due to its regulatory framework and popularity among LPs. Carta now better serves GPs and LPs in Cayman-domiciled funds with an enhanced Closings experience.
What’s important about this?
This release allows GPs of Cayman-domiciled funds to offer a smooth onboarding experience to LPs, while ensuring compliance with Cayman Islands legal requirements. To meet these compliance standards, we have introduced:
- Witnessed signature collection on subscription documents

Introducing the Portfolio Events
Portfolio Events
Portfolio Events is a real-time dashboard that surfaces key portfolio company events in a centralized location.
Get timely insights into financial performance and notifications about key events—such as equity issuances and conversions, updated valuations, and new funding rounds. Any changes made by your portfolio companies will be automatically reflected in your event feed, helping you maintain an open channel of communication without manual back-and-forth.
Who is this available for?
The Portfolio Events feature is available for investment firms.
How do I use it?
Access the Portfolio Events page from the Tools & Services sidebar menu.
Filter by company name, event type, event date, and entity name.
View details for any event to see more info on your equity holdings, or on the company’s financing activity or valuation.

What’s new?
We’ve enhanced Carta Closings to give General Partners (GPs) greater visibility into their fundraising progress and provide Limited Partners (LPs) with more flexibility in how they complete subscription documents.
With these updates, GPs can now set clear fundraising goals, manage prospective investors across their pipeline, track progress in real time, and upload offline documents for institutional LPs. LPs also gain multiple signing options to make their subscription process more flexible.

Improvements to the Draft Certificate Experience
We are continuing to enhance the experience for companies reflecting the fundraises through Carta.
What’s new?
Our Draft Certificate Experience can extract information from Stock Purchase Agreements (SPA), saving company administrators time when issuing investor shares after fundraising.
Who is this available for?
All company administrators can upload and extract data from Stock Purchase Agreements to reflect priced rounds.
Main Value Proposition
The Draft Certificate Experience powered by document extraction saves you time, money, and makes sure your cap table data matches the legal documents after certificates are issued from a new round.
How do I use it?
1. Navigate to Securities, then Shares
2. Click "Draft Shares", then select "Create a new draft set"
3. Select Yes to confirm the draft set is related to a new investment round and click "Create new draft set" to proceed. You can change the Draft set name at this point.
4. Drop the Stock Purchase Agreement, select the effective date and click continue.
5. Wait for our AI tool to extract the document's information and populate the draft set.
6. Scroll all the way to the right to find the SPA attached to the certificates.
7. Once the certificates are issued, you can find the SPA under the Documents and Notes tab when clicking to see the certificate.
Anything else I need to know?
Attaching the Stock Purchase Agreement is not mandatory for issuance. You can choose to remove the document during step 6, while the certificates in draft are being reviewed and updated.

What’s new?
Carta Total Compensation is excited to introduce Custom Paybands, a new feature that allows customers to define, manage, and evaluate compensation using their own salary and equity ranges. Previously, users relied on benchmark-based market bands; however, with Custom Pay Bands, customers can now set their own pay ranges for specific job areas and levels, ensuring alignment with their internal compensation strategy.
How can I access paybands?
Navigate to the Paybands page in Carta Total Compensation
Review the details of your Compensation Plan
Click “Create Paybands”
You’ll be shown a list of paybands that have been automatically created for you
How do I edit paybands?
- From the Paybands screen, click on the payband that you’d like to edit
- Click edit on the individual payband page
- You can now enter new minimum, target, and maximum salaries/equity grants for each level. You may also enter notes to document any decisions. You can also rename the band.
- Click “Save” to return to the individual payband view
How do I create paybands for multiple locations?
- Under Compensation Plan, navigate to Payband settings
- Select a location where you would like to create paybands
- Set an adjustment factor off of top-of-market benchmarks for the new location
- Click + add location adjustment to add more locations
- After editing this section, click on Preview & Save so the system can re-calculate the scorecard
Note: You will need to enter all relevant locations here in order for employee comparisons on the Scorecard to be accurate.

Mobile Investor Cap Table Access
Get connected with your portfolio companies directly from your phone: soon, investors will be able to view cap tables from the mobile app, in addition to requesting access to cap tables directly from the company page.
Who is this available for?
This is available in the iOS mobile app for any investor’s personal portfolio, as well as investment firm administrators. If you don’t have the app, just search for “Carta” in your phone’s app store.

How do I use it?
If you haven’t downloaded the mobile app, now is a great time to do so. Once you have it installed, you can find this by logging in and selecting a company from your investments list. From there, you will either see the cap table and financing history, indicating you already have access, or a ‘Request cap table access’ button. Clicking that button will send a prompt to the company requesting that they grant access.
Once you’ve submitted your request, you can check updates directly from the same screen:

Draft & Save Issuances in the Interest Issuance Workflow
Description
The interest issuance flow got a major upgrade. Now, users are able to create one or many draft issuance sets and can then work on populating the issuance spreadsheet on their own time. As partial or full data is entered, that can be saved to prevent data loss & rework. Once the issuance set is populated and reviewed it can be issued to the cap table. In addition to saving data, holder data is now entered on the issuance spreadsheet to further streamline this process. To get started head to Cap table > Draft interests.

View and export Cap tables by financing round dates
When selecting a historical date to view their cap table, users can now see the dates of major financing milestones in the selector. This feature simplifies the process of navigating to various financing rounds and viewing the historical cap table at those specific points in time. The feature is now live for all companies and available to investors who have the appropriate level of cap table access for the companies they are viewing.

[Beta] Audit Investment Confirmations on Carta
This month, we released a new tool to our pilot audit partners, designed to help funds and their portfolio companies complete investment confirmations during their audits. Our new tool allows auditors to manage the process directly on Carta, GPs to monitor and approve confirmations sent to portfolio companies, and portfolio companies to easily respond to confirmation requests without the burden of downloading and filling out PDFs.
For Auditors
Once Auditors get added as an auditor to the fund's Carta count they will be able to create, schedule and download investment confirmations.
For Funds
GPs and Fund CFOs are able to view auditor's selected portfolio companies, review the contact information, approve the confirmations being sent the portfolio companies.
For Companies
For companies, its never been easier to respond and complete investment confirmations. They will receive an email from the auditor and fund, and then be prompted to go to Carta to complete and sign the form in just a couple clicks.

Recent releases for QSBS eligible companies and their shareholders
We are continuing to enhance the experience for QSBS-eligible companies and their shareholders. Recently, we have introduced the following features:
1. View previously sold QSBS eligible shares
Shareholders and admins can now see previously sold shares that were QSBS eligible. Users can view this information on Carta directly, as well as the QSBS PDF statement available for download by shareholders.

2. QSBS columns added to the Investment dashboard export

3. Financing history now included QSBS Attestation letter's to Company admins
Our QSB Attestation letter to companies now includes a section detailing the financing history of the company. This information impacts the 'aggregate gross assets' test our team preforms during the analysis.
