Non-Tender Offer Buyback Options
Hello all - forgive me if there’s resources that I have not located yet but here’s my question - With fewer companies going public and/or taking longer to do that, how are companies solving for employee liquidity? How common are alternative private liquidity programs (for example, company repurchases of stock) and is there a summary of the implications of this (legal, accounting, tax)? (FYI - not looking for tender offers as a solution either). Thanks in advance!
Great question, and I appreciate you bringing this to the community. If anyone else has experience with alternative liquidity solutions, we'd love for you to jump in.
You're right that extended pre-IPO timelines are changing how companies approach employee liquidity. From what we're seeing in the market, most structured liquidity programs for private companies do tend to take the form of a tender offer, whether company-facilitated or third-party led. That said, we're curious what alternatives you're considering outside of that structure.
If you'd like to dig into this further, our liquidity services team is open to a conversation. They can walk you through how we've seen different approaches play out in practice.
Let me know if that’s of interest and I can connect you.
